_About The Role_


This role is for an experienced Company Secretary to work with, and provide support to, the European legal team and wider business.

This will include working closely with the finance, investment, compliance and tax teams within the Greystar business andexternal service providers in the UK and Europe.

This role will report to the Senior Director, Legal.


_Key Responsibilities_

  • Ensure our corporate entities in the UK and Europe comply with their financial, administrative and legal requirements (including maintaining statutory books, filing necessary documents, informing the registrar of key corporate changes, organising boardmeetings, preparing agendas, creating structure charts and taking minutes).
  • Work with relevant internal and external advisors to set up and support new corporate entities in the UK and Europe and manage new compliance requirements.
  • Coordinate with, and be the first point of contact for, company secretarial administrators, including overseeing invoicing and KPI reporting from administrators.
  • Work with relevant internal stakeholders and external service providers (corporate administrators and AIFM depositaries) in the UK and Europe.
  • Key coordinator of a central corporate governance document management software system.
  • Review corporate documents to opine on transactions that require board consent for each entity, board meeting frequency and delegation of authority process.
  • Support legal, compliance, finance and tax teams with transactions (acquisitions, financings, restructuring) from a corporate administration perspective.
  • Support the legal team by monitoring relevant legislation and providing corporate governance/regulatory guidance to ensure business compliance.
  • Manage and respond to inbound "KYC" (know your customer) requests & due diligence processes from lenders, investors and other third parties.
  • Provide ad hoc assistance to the legal team on a wide range of commercial and real estate issues.
  • Communicate and work with the legal and compliance team in Europe and the US as needed.
  • Some travelling might be required.

_About You_
You will be educated to degree level or appropriate professional qualification (such as CGI) or qualified by experience.

You will have proven experience in a company secretarial role with a good understanding of commercial processes, procedures and operationaldrivers.

In addition, you will be able to manage negotiations with a range of stakeholders.
