Description
International Governance Officer, joining an International Children's Welfare Charity. Remote working, homebased anywhere in the UK.


As the International Governance Officer, reporting to the Director of Finance and Corporate Resources, you will provide a support the boards and their committees to fulfil their governance responsibilities.

You will work closely with the chairs and trustees of all Boards to ensure they are supported and equipped to fulfil their legal duties, make informed, strategic decisions and deliver their responsibilities.


Key Responsibilities:

  • Facilitate the operation of decisionmaking processes by managing timetabling, servicing and coordination of the work of the Boards and Committees
  • Coordinate a rolling agenda of work for the Boards and Committees, working with Leadership Team
  • Ensure effective Board and Committee meetings by preparing LT leads, managing information flow and records, and ensuring documentation meets required standards of and best practice in governance.
  • Document decisions and ensure actions are managed appropriately and to timelines.
  • Ensure the General Meeting is held in accordance with the Standing Orders, issuing notices and documentation, and formally minuting the meeting.
  • Support the process for effective structure and turnover of the Committees and any advisory groups.
  • Support board reviews, analysing needs, and taking responsibility for the implementation of recommended changes.
  • Support the implementation of the Board Development Plan
  • Provide assurance that charity and subsidiaries comply with regulatory requirements in the relevant jurisdiction and their governing documents.
  • Coordinate work of the Risk Group and supporting reporting on risk
  • Ensure governing documents are published, up to date, understood and adhered to, including proposing and drafting changes.
  • Contribute to the review and continuous improvement of governance structures and processes.


We are looking for you to have previous knowledge and experience working within a Governance role and facilitating governance, ideally within an international charity or membership organisation, including working with senior management teams and trustees.

Demonstrable understanding and awareness of governance models, current best practice and up to date legal requirements of charity governance. Experience of project management and effectively managing stakeholders and risks to meet agreed targets and timescales. Significant experience of writing complex minutes and briefings, and planning, supporting and servicing governance meetings. Ideally experience of working remotely and with remote-working colleagues.
