Job Description:


  • As a member of the Company Secretarial team, the Company Secretarial Officer supports the Deputy Company Secretary in providing high quality advice and specialist support across a broad range of company secretarial tasks and activities, in particular in relation to the smooth running and effectiveness of Anglo American's Boards and Committees.
  • Supporting the Deputy Company Secretary in coordinating logístical arrangements for Anglo American plc Board and Committee meetings, including at least one overseas meeting annually
  • Communicating Board paper deadlines and liaising with authors to ensure these are submitted on time and in the correct format
  • Formulating Board and Committee meeting dates at least two years ahead, in collaboration with the Deputy Company Secretary, Chief Executive's office, Business Unit company secretaries and other relevant internal stakeholders
  • Preparing draft agendas for the Board and Nomination Committee meetings, drafting of the Company Secretary's Board Report, and preparing template Board and Committee minutes
  • Prior experience of providing support at board or executive committee level in a PLC company secretarial environment (or equivalent).
  • In relation to the Diligent Boards portal software for dissemination of Board and Committee materials:
  • Uploading Board and Committee meeting packs to Diligent for distribution to the Board, as required.
  • Acting as chief point of contact for queries regarding the Diligent board portal software.
  • Ensuring Diligent license costs and billing are correct and within contract and budget parameters.
  • Maintaining Diligent internal processes and troubleshooting software issues in conjunction with Global IM and IT Service Desk.
  • Coordinating and assisting with set up and installation of Diligent for Directors and Administrators, liaising with Global IM and IT Service Desks where required.
  • Training and supporting Directors and Administrators of Diligent committees within UK, SA, Singapore and Chile
  • Qualifications
  • Graduate (preferred).
  • To have commenced the Charted Governance Institute qualification (preferred), for which study support will be available.
  • Basic knowledge of the UK Corporate Governance Code, the FCA's UK Listing Rules and DTRs, company law and other relevant statutes and regulations.
  • Prior experience of Diligent Boards (or equivalent board portal software).
  • Prior experience of providing support at board or executive committee level in a PLC company secretarial environment (or equivalent).
  • Must have excellent accuracy and extremely high level of attention to detail.
