The following skills and experience will be required and are essential for the successful candidates: Maintain a comprehensive and up-to-date suite of relevant governance documents, working with and preparing drafts for the Company Secretary, including: Organisational Framework for Governance Scheme of Delegation Standing Orders for Board of Directors Standing Orders for Council of Governors Terms of Reference for Trust Board of Directors and all Board Assurance Committees Annual review against Code of Governance for NHS Providers Annual review against committee and Board Terms of Reference Board Assurance Framework (BAF) Relevant Standard Operating Procedures and policy documents relating to maintaining the BAF, keeping the Register of Interests for members of the Board and Council, and keeping the Trust Seal Record of non-executive and executive responsibilities Maintain the register for use of the Trust Seal and make arrangements for documentation to be sealed as required, in accordance with the approved process; Act as first point of contact in managing the diary of the Company Secretary including the scheduling of meetings and lectures; To organise and plan the workload and complex diary commitments for the Company Secretary, ensuring that deadlines are achieved and that the flow of work is appropriately prioritised and targets and deadlines are met; organise formal and complex meetings, including all travelling and accommodation arrangements, as necessary, involving internal, external, local and national participants; Please refer to the Job Description for the full specification of responsibilities and requirements for this post.
