Executive Talent Solutions are working with a leading property and hospitality business to recruit and experienced Company Secretary.

You'll be working for a leading property and hospitality group with an impressive track record of growth.

They have developed some of the world's leading hotels in the UK, Europe and US as well as operating a growing restaurants business.

This expansionhas created a new role of Company Secretary.


Key responsibilities include:

  • Support in M&A Transactions
- (i) Dealing with M&A transactions (Investment and Divestments), review and negotiation of transaction documents, indemnities etc.

(ii) Assist the team in transaction structuring to optimise deal/ tax costs.

(iii) Preparation of internal reports and memos for board approval.

(iv) Liaising with advisors and lawyers on transaction advise and documents.

  • Corporate secretarial
(i) Prepare board agendas and minutes of Board meetings

(ii) Prepare board resolutions and seek board approvals

(iii) Filings with Companies House

(iv) Liaising with advisors and lawyers on various requirements

  • Support in managing loan facilities with banks and related compliances
(i) Assist the team in negotiating and managing loan facilities with banks

(ii) Preparation of covenant compliance reports required to be filed with banks

(iii) Assist the team in preparation and management of company's cash flow reports

(iv) Tracking bank related compliances and payments.

Previous experience in a property or hospitality business or a company with significant M&A activity

  • Experience working at Board level
  • Experience of managing external parties such as solicitors, banks, audit firms
  • Strong communication skills
  • Selfstarter with ability to work on own initiative
  • Continuous learner always looking to improve on the status quo
  • You want to be part of a team that works hard, supports each other and has fun along the way
