About the role:

We are seeking a dynamic and experienced Company Secretary to join our team at AXA UK.

In this vital role, you will act as Company Secretary for AXA UK, its principal regulated companies, its main operating companies, and other subsidiaries, totaling 32 companies, 9 of which are regulated.

Additionally, you will serve as Company Secretary for AXA Global Healthcare (outside of the AXA UK Group) and to the AXA UK Pension Scheme.


You will play a key role in ensuring the smooth running of all relevant companies by providing expert guidance on corporate governance, compliance, and board-related matters.

Your responsibilities will include advising the board on statutory, regulatory, and governance requirements, promoting the highest standards of corporate governance, and acting as a trusted advisor to the board and directors of AXA UK and its subsidiaries.


You will lead the implementation of board performance evaluations, ensure compliance with legal and regulatory frameworks, and devise, implement, and manage the AXA UK corporate governance framework.

Your expertise will be crucial in facilitating transparent communication among stakeholders, fostering effective working between executive and non-executive directors, and providing support for Non-Executive Directors, including recruitment, induction, appointment, and succession planning.

You will also be responsible for devising, implementing, and managing procedures to help directors discharge their statutory duties, leading and directing the scheduling of board and committee meetings, and keeping abreast of changes in corporate law and regulations.


What you need to do the job:


About you:


  • Qualified solicitor and/or chartered secretary with extensive experience, with extensive years of post-qualification experience (PQE).2. Advanced technical knowledge of UK company law and governance.3. Extensive experience in matters of law, regulation, secretaryship, accounting, business finance, strategy, ethics, and governance, particularly within large group structures.4. Detailed knowledge of the AXA Group, including its corporate culture.5. Strong leadership, management, and communication skills, including the maintenance and development of relationships with non-executive directors.6. Demonstrated lateral thinking, problem-solving, and creativity, coupled with exceptional organizational and communication skills, including the ability to interact effectively with senior management, board members, and external stakeholders under tight deadlines.
