What the day will look like:
As a member of the team your responsibilities are likely to involve:


Board Support:


  • Acting as Secretary to Boards and / or Board Committees.
  • Providing guidance and support to the Company Secretary, the Deputy Company Secretary and the Boards of the various subsidiaries in the UK Group in relation to governance and statutory compliance.
  • Producing Board and Committee papers as required (and overseeing the uploading of packs to the electronic portal).
  • Minuting Board / Committee / Governance forum meetings.
  • Seeking efficiencies, consistency and best practice in the running of Boards and Committees across the UK Group.
  • Monitoring changes in relevant legislation and the regulatory environment and recommending appropriate action.
  • Assisting with Board / Committee effectiveness reviews.
  • Coordinating Board approvals as required for specific transactions/group restructurings (including the drafting of the relevant transaction minutes/recording of decisions and any shareholder authorisations/resolutions, arranging the necessary approvals, execution of the required documentation, and ensuring appropriate records are maintained).
  • Contributing to meeting discussions as and when required and advising members of the statutory and governance implications of proposed policies and actions.

Statutory:


  • Leading the Cosec involvement with the yearend process, including liaising with colleagues across the business, coordinating the Company Secretarial Team's review of draft statements (incl. regarding any required statutory compliance and Board governance disclosures), arranging Board approval, and ultimately submission to the Registrar of Companies.
- ensuring Companies House filings are completed on time.

  • Maintaining company records using Diligent Entities.

Other:

Attending to day to day issues as required, including the provision of information regarding companies in the UK Group, execution of corporate representative documentation, reviewing and issue of powers of attorney and the notarisation of documentation

Skills and experience that will lead to success:

  • ICSA qualification or equivalent.
  • Experience within a company secretarial department, preferably gained within the financial services sector.
  • Accuracy and attention to detail.
  • Strong communication skills.
  • A positive and proactive approach and strong team ethic
  • Confidence to liaise with directors and senior management across the Business.
  • Ability to work both as a team player and individually.
  • Good organisational skills.
  • Discretion when handling confidential information.
  • Able to meet multiple deadlines.
