Based:
Canterbury or London hybrid


Salary:
circa £12,000 per annum(This is a pro-rated amount of circa £60,000 full time equivalent)


Hours:7.5 hours, 1 day per week

Have you got an understanding of corporate governance best practices and compliance requirements?

Do you have a diplomatic approach and the confidence to provide support to senior staff and board members?
*This role can be based in either our Canterbury or London Office and home. Attendance in either office will be required when needed for business meetings, events or training.


Role Overview:


This role is key in ensuring effective
corporate governance arrangements are in place that fulfil the requirements of the Institutions Royal Charter and By-Laws, and any other corporate rules and regulations as may be applicable to the group of companies.


Key Responsibilities:


  • Act as Secretary to the Board of Governors, Audit Committee, Remuneration & Nominations Committee.
  • Ensure that effective procedures are in place for the preparation and conduct of meetings and any postmeeting actions.
  • Provide support and guidance to members of the Board and the Senior Executive Team on all matters of corporate governance.
  • Assist with the production of the institutions annual report, reviewing nonfinancial aspects.
  • Ensure good information flows within the Board and its Sub-Committees and between senior management, as well as facilitating induction and assisting with professional development as required.

Skills and Qualification:


  • A minimum of 35 years of experience working as a company secretary or in a similar corporate governance role.
  • Understanding of corporate governance best practices and compliance requirements
  • Excellent communication and interpersonal skills, with the ability to liaise with board members, senior executives, and external stakeholders.
  • Ability to develop new and review existing constitutional provision
  • Strong administrative skills and an aptitude for using IT software including Microsoft Office and SharePoint
