Role Summary

We are looking for an Assistant Company Secretary - EMEA to join a close-knit Secretarial team of 8.

In this role, you'll work to support the Company Secretarial Team professionally and administratively, dealing with all levels across a diversified Group.


In this exciting and varied role, you will predominantly be supporting the EMEA (Europe, Middle East and Africa) Regional Holding Company and UK Regulated Entity (UKREs) Boards and Committees.

You will have exposure to Independent Non-executive Directors and all aspects of the Company's lifecycle and agile working, a supportive team, and growth and development opportunities are provided from day one.

Job Duties- Provide oversight and manage day to day guidance and support to the EMEA Regional Holding Company and UKREs' Boards and Committees, including proactively managing meeting schedules, assisting in the annual agenda planning process, preparation of agendas, collation, and timely distribution of meeting packs, and maintaining accurate action logs.- Assist with the year-end sign off process in relation to the annual accounts to the EMEA Regional Holding Company and UKREs.- Oversight of UKRE Board and Committee effectiveness reviews.- Assist in the provision of a full company secretarial administration service to the Group's EMEA Sub-Group, such as drafting director and shareholder minutes etc.

for UK and European subsidiaries.- Implement and maintain exceptional corporate governance practices and procedures for the department.- The drafting and submission of forms (electronically and in hard copy) to the Registrar of Companies.- Administer and maintain statutory registers on the Group's worldwide database of subsidiary companies (GEMS), liaising with overseas colleagues and professional advisers as appropriate.- Assist in the maintenance of the Group corporate chart.- Assist with signing authorisations, legalisation and notarisation processes, liaising with internal and external counsel as required.- Respond to company secretarial information requests from other departments, shareholders and external third parties.- Mange one direct report and assist with training and providing guidance to the Company Secretarial Assistants. Liaising with Legal and Compliance functions as necessary in relation to Senior Manager Function (SMF) responsibilities as they relate to the UKREs Liaison with external and internal counsel, auditors, overseas company secretarial agents and secretarial colleagues, as appropriate- Undertake any other reasonable duties as requested or in line with agreed objectives.

Person Specification

Knowledge- CGI qualified (preferably ACG).


Experience- Experience of providing advice to and supporting (arranging and minuting) senior management and committee meetings, demonstrating gravitas.- Experience of regulated financial services sector preferable.
