Tullow Oil has an exciting opportunity for a
Company Secretarial Assistant.

The purpose of the role to be an integral member of the Company Secretarial function in its delivery of the full range of activities for a listed company, in addition to varied UK and international subsidiary work.

This is a full-time permanent position, based in our Chiswick office with hybrid working arrangements.

  • Support the Secretariat Team as required in delivering a quality service to all Board and Board Committees including, collating and publishing papers
  • Support the delivery of the Group's MAR compliance procedure. including reviewing and maintaining the insider and restricted lists, the dealing policy, insider and restricted guidance and training materials, and all associated communications
  • Support in drafting the AGM materials including the notice of meeting, ancillaries, and collate and publish the Directors' briefing pack
  • Responsible for drafting and releasing regulatory news announcements on the LSE and GSE with support from the Deputy Company Secretary
  • Working with and being the key contact for Company Secretarial information for Group functions, including Corporate Finance & Treasury, Tax, Insurance, Investor Relations, Reward, HR, Ethics & Compliance
  • Responsible for updating and maintaining Diligent Entities
  • Subsidiary Governance: Assist in provision of full company secretarial administration service to the Group's UK and overseas subsidiaries, including the annual accounts and other statutory compliance across the Group
  • Annual Report: Assist with drafting Governance sections of the annual report and accounts
  • Governance Updates
  • Keep abreast of developments in company secretarial practice, corporate governance, and best practice updates

Skills

  • Relevant company secretarial experience within a UK listed company (desirable)
  • Working knowledge of the UK Companies Act, UK Corporate Governance Code, DTRs, Listing Rules and UK Market Abuse Regulations
  • Currently studying on the Chartered Governance Qualifying Programme
(study support available)

  • Degree level education preferable
  • Prior experience with Diligent Entities and Diligent Boards (preferable)
  • Keen eye for attention to detail
  • Ability and confidence to work with varying levels of seniority
