Purpose of the job
As Company Secretarial Assistant, you will play a crucial role in ensuring the smooth operation of The Collinson Group. This will include maintaining statutory books, handling filings with Companies House and ensuring compliance with legal requirements.

You will also assist with Know Your Customer requests, the company structure chart, preparation of company annual reports and minuting board and committee meetings.


You will be working with the Company Secretary and Governance Manager, supporting our Board(s) and senior managers and liaising with global company secretarial leads.

This role provides exposure to all business areas and sensitive commercial discussions. It requires an organised and process-oriented individual with good attention to detail and excellent communication skills.

This role would suit a pragmatic, flexible individual who is interested in building a company secretarial and governance career in a busy and complex organisation.


Key Responsibilities

  • Maintain statutory records, including registers of members, directors and secretaries.
  • Update and manage statutory information held within company secretarial software (Diligent).
  • Maintain Group structure chart and information.
  • Draft resolutions and lodge required forms and annual returns with Companies House.
  • Attend to KYC and due diligence information requests including collaborating with business development teams on Requests for Proposals (RFPs) and key projects.
  • Coordinate Directors Year End Declarations, maintenance of the Conflicts of Interest register, letters of support and undertaking.
  • Coordinate the approvals and filing of the annual reports and accounts (UK entities).
  • Filing of Dormant Company Accounts.
  • Develop and manage systems that ensure the company complies with our Governance Playbook / Collinson Governance Code.
  • Ensure policies are kept up to date and approved by the relevant body/individual. Support policy implementation.
  • Manage governance communications, information and resources on our intranet.
  • Organise subsidiary Board and Committee meetings as required.
  • Maintain subsidiary Board terms of reference, board effectiveness and director training.
  • Prepare agendas and papers for board and committee meetings, take minutes and follow up on action points.
  • Monitor changes in relevant legislation and the regulatory environment.
  • Liaise with global company secretarial leads.
  • Liaise with external advisers, such as lawyers and auditors as well as clients.

Knowledge, skills and experience required

Essential:

  • Knowledge of the requirements and scope of a company secretarial department.
  • Strong organisational and communication skills.
  • Adept at working collaboratively.

Desirable:

  • Knowledge and experience using Diligent Entities.
  • Experience of supporting boards and committees, including minute writing and agenda management.
  • Relevant Degree / Equivalent Experience / Part or Fully Qualified CGI.
