About the Role:


You'll report into the Company Secretary and Group General Counsel, deputising as required to minute Board and Committee meetings and managing the Company Secretarial Assistant.


You'll be responsible for promoting and instilling best practice across Corporate Governance and Compliance to include Regulatory developments, Listing Rules, DTR (Disclosure and Transparency Rules) and MAR (Market Abuse Regulation).


In addition, you'll be responsible for the governance of all Group entities and act as Secretary to the ESG Committee.

You'll take ownership for the renewal of the Group's insurance programme, administration of company Share Schemes and Group Intellectual Property to include the domain name register.


You'll manage the arrangements for the Annual General Meeting and the production and publication of the Annual Report in addition to preparing certain governance sections.

You'll provide secretarial support to Corporate Projects, transactions and restructuring.

About You


As a qualified Deputy Company Secretary or Senior Assistant Secretary, you'll ideally possess circa 5 years post qualification governance experience in a premium listed company environment.


You'll be able to demonstrate excellent working knowledge of relevant laws, regulations and best practice including the Companies Act, the UK Corporate Governance Code, Listing Rules, DTR and MAR, as well as the regulations relating to ESG such as TCFD.

You'll possess practical experience of working on corporate transactions such as mergers, acquisitions or disposals. In addition you'll have previously administered share plans and completed insurance renewals.


You'll be confident in communicating with senior stakeholders regarding complex or commercially sensitive manners, and have a strong commercial awareness and knowledge of broad economic issues which could impact the business.
