This role would be ideally suited for a qualified company secretary with 3+ years of post-qualification experience with strong corporate secretarial experience in both corporate clients and regulated funds who is looking to build on their existing corporatesecretarial knowledge and experience in the industry and at the same time diversify their career in an area of client relationship management, to expand their knowledge in new client onboarding and implementation, improve and build strength in the area ofcompliance and KYC/Due Diligence and learn new skills of business development.

The clients will include a mix of regulated funds clients as well as corporate entities.

Company Secretarial Aspects:

  • Independently manage a portfolio of clients, which will include funds and nonfunds clients, providing full corporate secretarial support as per relevant Service Level Agreement (SLA) to the client entities
  • Manage general legal and company secretarial aspects of the companies under his/her management
  • Collate the board reports from the relevant parties in timely manner and prepare the board packs for circulation to the client
  • Attend board and shareholder meetings, record and circulate minutes and action points arising therefrom
  • Ensure that all annual return are filed within the required deadlines and that all AGMs are held before the required deadlines
  • Ensure that all relevant Regulatory and Statutory filings are completed on timely basis
  • Ensure all statutory books and records for client companies are updated to reflect any changes to the companies
  • Arrange for the execution of specific transactions such as capital increases, participations, distribution of dividends, granting or obtaining loan facility
  • Analyse, evaluate and discuss specific client and prospect requests
  • Provide necessary guidance and support to more junior members of the team
  • Provide relevant support and guidance general support in relation to Companies Act 2014 and regulatory funds requirements by CBI
Client Relationship

  • Maintain and grow excellent relations with existing clients and intermediaries. Call and or meet all clients/intermediaries on a regular basis
  • Contact with client's advisors, accountants and third parties (bank, tax administration, etc.)
  • Facilitate the communication e.g., Auditors, tax advisors, legal advisors, Investment Manager, Fund Administrator, etc.
  • May be required to act as Non Executive directors on the Board of client companies (non funds) within the team under supervision of Head of Business Unit Director from time to time
  • Compliance & New Client Onboarding
  • Taking care of KYC issues, compliance regulations, ensuring clients meet client acceptance procedures
  • Ensure the compliance file is maintained and updated regularly
  • Carry out periodic compliance file reviews in respect of the client companies according to their AML risk rating
  • Drafting corporate services agreements, to be able to discuss queries raised by clients during onboarding
Your Profile

  • At least 3 years' experience either from a company secretarial, compliance, legal, accounting or transaction management background and ideally prior experience in working in a corporate services provider
  • University degree preferably in Business or Law
  • Good knowledge of CBI requirements for Regulated Funds deliverables
  • Experience with minute taking
  • Ability to work on own initiative and work independently as well as part of a team
  • Have entrepreneurial and commercial awareness
  • Can deliver against strict deadlines in a fast paced and demanding role
  • Ability to multitask and manage priorities effectively
  • Fluency in English
