Job Description Your role at a glance**LGAH has grown rapidly in its first five years and our governance team is expanding as a result. In this new role, you will manage the governance of our business. You will work with senior stakeholders to deliver an efficient and professional governance and board support service, advice and guidance on governance best practice, legal entity administration and ad-hoc projects for which the team is responsible.


In addition, you will support the Director of Governance, Policy and Strategic Projects in RSH regulatory compliance, regularly producing board and committee reports and overseeing internal governance control processes.


This role will offer you a fast paced and varied environment in which to hone your existing governance skills and gain increased exposure to an exciting market sector.


What you'll be doing

  • You will be managing the cycle of boards and committees, including: the governance calendar and meeting invites; agendas, forward programmes, collation and distribution of Board papers, drafting matters arising reports; and taking minutes.
  • You will evolve the governance framework to meet the requirements of a complex business and entity structure and different shareholders, by introducing processes and controls to ensure the various contractual and shareholder requirements are met and any areas of conflict or potential conflict are effectively managed.
  • You will be acting as the main point of contact for the Chairs of our nonregulated boards, providing governance advice as required to ensure the effective management of the board cycle, including meetings, strategy sessions, site visits, CPD requirements and board effectiveness.
  • You will support L&G Group Legal on the governance aspects of corporate transactions as and when required, including mergers, acquisitions, disposal, and joint venture establishments. Leading LGAH governance and regulatory projects that will improve governance standards and regulatory compliance, e.g. preparation for IDA.
  • You will manage the annual review of board effectiveness and CPD for all boards in the LGAH family of businesses, advising board members accordingly and devising actions to improve the effectiveness of the boards and committees based on the results.
  • You will lead the annual selfassessments of compliance against the RSH Regulatory Standards and our adopted code of governance (Currently the NHF Code of Governance). Be responsible for producing regular reporting to the board on matters of governance and regulation.
  • You will be leading the yearend subsidiaries accounts process from a governance perspective. This will include liaising with the Group and local Finance team, reviewing subsidiary company accounts and ensuring the correct filings are made.
  • Managing any junior members of the governance team as recruited from time to time, including graduates and interns.

Qualifications

  • Qualification in governance essential.
  • Excellent working knowledge of governance and the RSH Regulatory Framework.
  • Comfortable in influencing and building strong relationships with key stakeholders.
  • Experience in the financial services and/or affordable housing industries.
  • Strong experience in governance, including a management or leadership role in a governance or company secretarial team.
  • Experienced in the board and committee yearly cycle, meeting organisation and minute taking and well versed in best practice in governance and regulation.
  • Experience of working as part of an emerging team developing networks and processes, initiating projects, actively looking for improvements and solutions.
  • Strong verbal communication with the ability to confidently provide advice and guidance to directors during board meetings.
