OMERS Infrastructure, the infrastructure private equity arm of OMERS, is a pioneer and global leader in infrastructure direct investing with over 20 years of experience originating, structuring, and actively managing infrastructure investments.

The Associate Director, Legal will be involved throughout the life cycle of investment in assets and their long term management.

You will be involved in all legal aspects of the investment pursuit process, including the identification and origination of investments, due diligence, negotiation of sale and purchase and governance agreements, structuring, regulatory review and approvals and closing mechanics.

You will liaise with and instruct external legal and other professional advisors. You will provide legal support to the asset management teams post-acquisition.

As part of the OMERS Infrastructure internal legal team, you will be involved in developing and overseeing internal policies, procedures and compliance programs including collaboration with OMERS and its other investment entities.


Responsibilities:

Provide transactional legal support on OMERS Infrastructure investment pursuits, including liaising with external legal counsel and other professional advisors and assisting the deal team through the investment pursuit process

Negotiate a wide range of investment documents, including preliminary transactions documents (LOIs, NDAs, MOUs), sale and purchase agreements and governance agreements and participate in the due diligence process

Provide legal advice with respect to the structuring of investment transactions and compliance with applicable pension, corporate and tax legislation

Provide legal advice with respect to OMERS Infrastructure's third party capital program and related regulations

Provide legal support to asset management teams with respect to assets under management

Assist in the development and oversight of OMERS Infrastructure and OMERS enterprise-wide policies, procedures and compliance programs

Develop and build relationships within external law firms and other professional advisors

Liaise with OMERS legal, tax and finance and other areas within the OMERS enterprise


Qualifications:

Law degree from a recognized university and trained and qualified in the UK Minimum of 6 years legal experience in an M&A-based environment, either at a law firm or in-house

Specific experience in infrastructure investing across the UK and Europe

Developing negotiation and drafting skills

Very strong analytical skills and attention to detail

Strong interpersonal and communication skills to be able to gradually lead legal workstreams and interact with a broad range of professionals

Intellectually curious team player with a desire to understand all aspects of a transaction

Developing leadership capability - specifically mentoring and coaching junior colleagues

Able to multitask effectively and work independently. Self-motivated individual with a strong work ethic

A superior and decisive problem-solver, possesses a consistent, "can do" attitude

Some travel to international locations will be required
