Job summary


Reporting to the Registrar the Governance Officer is an important member of the Registry team which has responsibility for governance, academic regulation, quality assurance and regulatory compliance.

The Governance Officer provides professional administrative support for the effective operation of the School's governance processes providing governance support for the School's Boards and committees, clerking designated boards/committees, maintaining a wide range of governance documents and records and submitting various regulatory returns.


The role holder works closely with the Registrar and wider Registry team on a wide range of governance and compliance related reports and briefings and liaises closely with other Board members including Directors and Non-Executive Directors.


Key purpose of the role

Secretariat:

- to provide secretariat support to designated Board Committees, management and scheduling of meetings including the annual Board ensuring the prompt circulation of papers and Board packs, minute writing and agenda planning, liaising with a wide range of stakeholders to ensure relevant reporting deadlines are met in accordance with the annual schedule(s) of business.
Complaints governance - act as Minute Secretary for designated final student-related complaint hearings.
Policies and reports - maintain and update a wide range of governance policies and draft various reports or briefings for approval and/or consideration to fulfil internal and external governance and/or regulatory requirements.
Documentation
  • Ensure relevant governance documentation and official records of meetings and papers is kept up to date and correctly archived at all times. Maintain the governance pages of the School's website ensuring all relevant information and confirmed minutes are uploaded at regular intervals.
    Company and regulatory filings
  • Under the guidance of the Registrar maintain, update and commission a wide range of documentation for preparing filing returns for lodging with the School's Company Secretary.

Appointment and training:


  • Coordinate arrangements for governor appointment panel(s) and induction, briefing and training events including those for the Academic Student Governor.
    Register of Interests Maintain and update the Register of Interests on both a continuous and coordinate the annual return for lodging with the Solicitors.

Risk Management:


  • Coordinate the quarterly risk register updates from each department ensuring the availability of each department's return for consideration by the Senior Management Team and support the updating of the Corporate Risk Register
    . Internal Audit
    Coordinate the internal audit schedule of meetings in conjunction with the School's Internal Auditors and coordinate the submission of all required documentation for each audit liaising with the relevant departmental managers.**
    Other activities Participate and contribute to important academic and corporate events including graduation, Board 'away days' and relevant training.
Any other reasonable duties commensurate with level of the post.


Education and skills

  • Bachelors Degree; Masters Degree is desirable
  • Previous experience working in a similar governance role including experience of acting as secretary to Board level committees and senior level meetings preferably with knowledge and experience of relevant governance codes and/or relevant regulatory frameworks
  • Ability to prioritise own workload to meet strict statutory and externally prescribed deadlines and maintain accuracy
  • Strong verbal and written communication skills.
  • Knowledge and experience of supporting regulatory returns
  • Excellent interpersonal skills and the ability to work effectively with a wide range of staff including senior managers and Board Directors and the ability to provide authoritative advice
  • Ability to maintain strict confidentiality and act with tact and diplomacy
  • Ability to work calmly under pressure
  • Competent IT user including Microsoft Word and Excel
  • Experience of using Board meeting software and/or managing virtual Boards/committees
  • Interest in and basic knowledge of Fashion & Design is desirable
