Who we're looking for
In-house lawyer for our Distribution and Product Team within Legal. which focuses on the firm's EMEA-serviced bespoke mandates and solutions structures for institutional clients (sovereigns, pensions funds, corporates etc. ) across core and alternative assetclasses.

As a lead lawyer, you will be client facing and actively advise and service the Solutions and Distribution teams in UK, Europe and contribute to the teams in the Americas and APAC.

Your experience of authorised funds, private assets vehicles, corporate/ outsourcing transactions, OTC and exchange-traded derivatives will be useful but not essential.

The team
The Schroders Legal Team in London constitutes the majority of the global Group Legal team which totals 70 lawyers.

It services the Group's range of asset and wealth management businesses in EMEA and globally across each of the Divisions of the firm:
Investment,Product, Distribution, Private Assets, Wealth Management and Infrastructure.
What you'll do

  • Advising the Solutions business on fiduciary and advisory services provided and legal terms/templates required, plus bespoke structures designed with or for clients including those involving fund vehicles, UK insurance wrappers, funds of one and structureswhere Group entities are performing more than one role. Focus will be on UK pension fund clients as well as other client types.
  • Drafting all legal documentation associated with and ancillary to investment management agreements (IMAs) across the international institutional client base; including (but not limited to) side letters/amendments and other general commercial agreements suchas delegation agreements, indemnities, subscription agreements, NDAs, letters of intent and any legal documentation associated with Schroders life policies (pensions management business) and liabilitydriven insurance (LDI) mandates.
  • Advising the OCIO desk on their consultancy services to their clients and generally
  • Advice on distribution legal/compliance issues including crossborder marketing and the adoption of appropriate intrabusiness processes to ensure compliance with local regulations and/or obligations to clients, and to offer solutions and mitigants dependingon the distribution plan.
  • Advising on day to day legal and regulatory client documentation needs of Institutional client services and Distribution generally.
  • Advising on outsourcings taken on by Schroders for strategic clients and partnerships.
  • Advising on regulatory projects, interpretation and implementation of new regulations and directives across the relevant areas of the firm. Recent and current examples include SFDR, PRIIPs, MiFID II, AIFMD, UCITS, Solvency II, FATCA, CRS, EMIR and GDPR.
  • Potential for advice on correspondence with regulators on issues arising from the management, administration and distribution globally (in the UK, Luxembourg and Asia).
The knowledge, experience and qualifications you need

  • Demonstrable postqualification experience 69 years PQE
  • Excellent contract law knowledge, drafting skills and experience in client / service provider contract negotiation.
  • Excellent written and verbal communication.
  • Excellent attention to detail and procedure.
  • Indepth knowledge/experience of the investment management industry.
  • Good understanding of the legal and regulatory risks and Compliance processes associated with the financial services industry and FCA regulation.
  • Strong interpersonal skills including the ability to liaise with staff at all levels including senior management and board level.
  • Genuinely proactive and keen to take responsibility.
  • Strong organisational/prioritisation skills.

  • Strong private practice experience
  • Fluency in additional languages.
