Overview

Hyland is seeking an Associate Corporate Counsel to join our Legal team. We are seeking candidates based in the US, UK, or Poland for this position. In this role, you will be responsible to learn and develop the abilities to analyze and provide legal advice with respect to routine and low risk legal matters. The primary focus of the role will be on the drafting, negotiation and completion of commercial contracts but will also involve handling and advising on a variety of legal matters.

You will communicate frequently with internal clients affected by the legal matters handled, business unit management, external customers, partners, vendors, and outside counsel. You may also have some interactions related to the legal matters handled with vice presidents and C-level executives of the Company.

What you will be doing

  • Analyze and provide legal advice to the company, management and employees related to routine legal matters, matters presenting low legal, business or financial risks and commercial contracts
  • Assist in the development and maintenance of corporate compliance programs
  • Fulfill responsibilities in a manner which supports the Company's business objectives and with an appropriate sense of urgency to fulfill internal client requirements and legal obligations.
  • Participate in the management, including budget management, of outside counsel engagements related to legal matters handled
  • Coordinate with contract administrators for review of all contracts
  • Fulfill such other duties as may be assigned from time to time by the General Counsel, Assistant General Counsel or Managing Counsel
  • Comply with all corporate and departmental privacy and data security policies and practices, including but not limited to, Hyland’s Information Systems Security Policy
  • What will make you successful

  • Juris Doctor Degree (or equivalent) and active law license in applicable jurisdiction
  • Attention to detail, strong administrative skills and ability to work as part of a team
  • Ability to conduct legal research, gather and compile information, draft commercial contracts and prepare memoranda and other legal communications related to routine matters
  • Strong analytical skills, including learning and developing the ability to evaluate moderately complex business problems
  • Strong interpersonal skills
  • Ability to learn and develop strong negotiation skills
  • Ability to learn and develop excellent communication skills in writing and speech
  • Excellent skills in MS Office, especially Word and Excel
  • Or an equivalent combination of education and experience sufficient to successfully perform the principal duties of the job
