We partner with some of the biggest manufacturing companies in the world and our technical innovations are used to enhance well-known brands across multiple industries.Job description: The Legal and Compliance Lawyer will report directly to the Servomex General Counsel and will focus predominantly on commercial contract work and compliance matters.This versatile role will be involved in a broad variety of other matters including IP portfolio management, data protection, corporate transactions, fair competition, company secretarial work, property leases, governance and risk management.The Legal and Compliance Lawyer will support Servomex’s businesses throughout the UK, EMEA, Asia Pacific and America as they continue to pursue their strategy to transform and grow the business, the role would therefore suit someone looking to develop their career as a generalist in-house lawyer. The Legal & Compliance function is a small, busy and friendly team, serving Servomex’s global business requirements. Key Responsibilities will be:To draft, review and negotiate a variety of trade, commercial, financial and operational documents. These include NDAs, MOUs, product and service sale / purchase contracts, bonds/guarantees, distributor and agency agreements, property leases and product development projects.To carry out due diligence for the appointment and/or renewal of various sales intermediaries and support the on-going monitoring of legal and compliance matters related to those intermediaries;To ensure compliance with company and shareholder risk mitigation requirements, through the development and implementation of new policy and process.Working with managers and functions across the whole business including Spectris (shareholder).Support with trade mark and patent applications and/or enforcement; provide general advice related to IP and confidential information management and protection.Providing support and training in other areas including export/trade compliance, fair competition, gifts & hospitality, data protection, conflicts of interest.Conduct investigations related to internal compliance matters.Analyse legal issues and risks; make recommendations to the business on responses to legal issues, risks, potential claims and proposed changes in laws and regulations.Establish governance and other approval processes as related to legal and compliance matters.Ensure company policies and processes are followed and appropriate governance maintained.Manage external lawyers and related budgets, as required from time to time.Devise and provide regular training on legal and compliance matters (policy and procedure) to non-legal functions.Candidate Specification:Essential skills, experience, and education:Legal professional qualification - A qualified English solicitor (or lawyer qualified in another jurisdiction)Commercial contracts experience gained either in an in-house role or in private practice.Experience of managing and providing support on compliance matters (governance, code of business ethics, intermediary selection and management, export, regulatory, fair competition), policy, process and investigation.Good analytical skills.Strong communication skills, written and verbal.Willingness to learn, work hard and to become a key contributor to a changing company and growing business.Able to build relationships across a multi-cultural organisation.Desirable skills and experience: Company secretarial experience would be useful, to help support regular reporting / creation of corporate documents for a small portfolio of companies.Corporate and M&A transaction experience.Experience dealing with property leases and employment law matters.Prior experience of working in-house and/or for an engineering, manufacturing, technology company would be helpful but is not necessary.Experience of identifying and implementing change requirements – for legal and compliance matters.Knowledge of a foreign language or languages – European or other.Benefits: Discretionary Company BonusUp to 6% Employer Pension Contribution25 days’ annual leave + Bank Holidays + Company Shutdown DayStaff Referral schemeLong Service AwardsOpportunities for growth & developmentEmployee Wellbeing ProgrammeLocal DiscountsFree ParkingServomex is a ‘Mindful Employer, developing and maintaining a working environment which promotes and supports both physical and mental wellbeing; encouraging flexibility and a healthy work-life balance.
