Job Description:

Role Overview:

Key Responsibilities:

Company Secretarial Providing company secretarial support on transactions, including entity incorporations, restructurings and liquidations etc. Preparing company secretarial documents for certain English entities and handling filing of documents with Companies House Assisting in scheduling and convening and minute taking of certain quarterly board meetings Assisting in the administration of UK and European entities Preparing and maintaining structure charts for the UK European lower tier investment structures (both for internal and KYC / AML purposes) Preparing UK and European quarterly entities list for North America Assisting in maintenance of the corporate records in Diligent (formerly known as BluePrint) Liaising with other offices of Brookfield as and when required in relation to the above, including the teams in Luxembourg, Bermuda and North America Corporate Service Provider Coordination Selecting and negotiating terms of engagement with UK and European corporate service providers Liaising with corporate service providers to onboard new entities, open bank accounts, schedule board meetings, incorporate and liquidate / dissolve entities etc. Checking corporate service providers invoices are in line with agreed fee arrangements Ensuring Diligent is being maintained by corporate service providers and producing ad hoc reports when required Collating documents needed for due diligence/ KYC /AML requirements General Supporting the Legal and Tax teams regarding execution of documents Assisting the wider Legal and Regulatory team in corporate governance initiatives as and when required Knowledge and Experience:
  • Previous experience in a company secretarial / corporate administrator role
Good working knowledge of Powerpoint / Excel Fluent in English, any other European language considered an asset Strong communication skills Ability to work autonomously and as part of a wider team Educational Qualifications: Degree in Law or ICSA qualified considered as an advantage Brookfield is committed to maintaining a Positive Work Environment that is safe and respectful; our shared success depends on it.
