Job Summary


We are seeking an experienced Senior Governance Officer to provide a high-quality secretariat to our Board, its Committees and our executive leadership team.

This role is pivotal to the good governance of our organisation.

Reporting to the Secretary to the Board, and working in close partnership with SFC's senior leaders, Board members and colleagues from across SFC, you will play a leadership role in managing and evolving our governance and secretariat functions to ensure we are operating to the highest standards of professionalism and to bring a dynamic and proactive approach to Board engagement.

A keen understanding of the strategic context within which SFC is working will be key to success in this role.


Job description:


Key Responsibilities

  • Lead the effective planning, management and organisation of SFC Board and Committee business and executive Senior Leadership Group meetings. This includes drafting agendas and minutes, securing papers in a timely fashion from colleagues, ensuring papers are drafted in house style and preparing the chair's brief.
  • Draft and secure highlevel briefings for the Chair, SFC Board members, Committee chairs and the Chief Executive as appropriate.
  • Provide expert advice and strategic guidance on governance issues to internal and external stakeholders.
  • Lead on specific areas of activity, including working collaboratively with the External Affairs team to lead the development and implementation of a Board engagement strategy by coordinating and organising engagement events.
  • Working collaboratively with colleagues across SFC, establish and lead an induction plan and any necessary training for new Board members and maintain oversight of the changes in membership of the Board in support of the Secretary to the Board. Liaise with the Scottish Government as necessary in relation to Board appointments.
  • Support Board effectiveness by leading on key items such as Board and Committee effectiveness reviews and supporting the Chair with Board member appraisals.
  • Represent the SFC externally at Board and Committee events and meetings; and assist with the publication of SFC Board communications.
  • Maintain systems to support the accountability of SFC and good practice in governance and openness, including the register of SFC Board members' interests, biographies, the receipt of gifts and hospitality, expenses, relevant budgets, the operation of the SFC's codes of conduct, lengths of terms of office, and freedom of information relating to relevant papers.
  • Coordinate agendas, meeting papers and forward look for the executive's Senior Leadership Group to secure a sensible flow of business that connects with the Board, Committee and Government liaison meetings.
  • Provide other support to the Deputy Director of Governance and Planning (Secretary to the Board) as required.
