Principal responsibilities will include:


  • Advising business partners, including Executive Management.
  • Participation on various committees including CASS, product governance, distribution, risk & board meetings
  • Manage, coach and support a small team of lawyers and secondees.
  • Advisor to the Irish Management Company and its board of directors on management company matters, fund ranges (UCITS including EFTs and AIFs) and investor relation matters.
  • Advisor to the UK authorised Investment Manager and its board of directors and committees.
  • Engaging with and supporting Compliance and Risk Management in analysing the requirements of new laws and regulations impacting the businesses and the implementation of processes and procedures in order to comply with such requirements i.e. MIFID II, SFDR, Consumer Duty, Client Money, Libor, CSDR, EMIR Transaction Reporting and CASS.
  • Drafting and negotiation of distribution agreements with third party distributors
  • Negotiation of ISDA, GMRAs and Repo agreements.
  • Negotiation of brokerage, commission collection, futures & options agreements.
  • Negotiation of Securities Lending Agency Agreements.
  • Advising the business and working together with the compliance teams in respect of communications with regulators (FCA CBI and AFM).
  • Key contact for all external counsel in EMEA NTAM; manage the corporate relationship and delegation of services, responsible for negotiation of fee and resolving invoice disputes.
  • Liaising with other colleagues in the legal department (both in EMEA and APAC as well as the US) supporting Northern Trust's Asset Management & wider global businesses to ensure a consistent approach to the policies of the bank in connection with the provision of the services.

Knowledge/Skills
Senior lawyer who is currently working within a financial services private practice or in-house at an Asset Management firm with exposure to;

  • Proven experience working across EU and FCA regulations
  • Experience of drafting, reviewing and negotiating the documents and agreements referred to in the principal responsibilities section above
  • Able to work with Senior Business Leads across multiple disciplines and international jurisdictions
  • A proactive and diligent team player with the ability to prioritise, manage expectations for the department and work to set deadlines within a challenging environment
  • Experience of leading a team and of working with senior executives as well as independent directors
  • A person who is able to: (a) act with integrity and authenticity, (b) able to business partner with a proven pragmatic sense and commercial understanding of business needs and (c) able to navigate and influence in a matrix environment with clear written and verbal communication skills.
