DUTIES INCLUDE BUT ARE NOT EXCLUSIVE TO:

Company Secretary:

- act as Company Secretary, ensuring that the company fulfils its legal, filing and other responsibilities as a company limited by guarantee in the UK and in all global markets in which we operate. In this capacity, theDirector of Corporate Affairs will be a director or named person where required for our Group and subsidiaries.

Board management
  • Working with the Chairman of the Board and the Chief Executive, /ensure the Board provide expert scrutiny, governance and advice to the executive. This will include effectively curating meeting agendas which foregroundkey issues in a timely fashion, creating papers, and in partnership with the Governance and Strategy Manager (direct report), maintaining accurate minutes.

Board advice - supported by the Company's legal advisors, provide advice to the Board on formal matters of governance and law.

Reporting - ensure that the company meets it requirements for reporting and disclosures under our grant agreement.

Corporate risk - together with the MD, Strategy & Operations, be responsible for the identification and management of key Group-level corporate risks - including but not limited to conduct and compliance risk - through the Risk Register,which is a key product for the Audit and Finance Committee of the Board.

Ethics and whistleblowing - act as company lead on ethics, acting as secretariat for the company's ethics committee, leading on continuous improvement of our ethics approach, and managing the whistleblowing process.

Corporate policies - managing the compliance officer, driving efficient corporate policies which reduce risk, create efficiency, and support the organisation in delivering mission driven outcomes.

Global perspective - understand, identify and manage risks in each market in which we operate globally, and similarly manage risks created by operating in more than one market, including extraterritorial policies.

Data:

- act as Data Protection Officer, exercising strong data protection and information governance, though setting strong polices and managing the compliance officer (direct report).


SKILLS, EXPERIENCE AND ATTRIBUTES REQUIRED:

Leadership:Able to lead multidisciplinary teams, and motivate, coach and encourage others to maximise their own and their team's potential. Creates an inclusive, supportive culture which is ambitious for the company and for London. Buildsstrong, trusted working relationships with peers.

Governance: Able to demonstrate suitability for the Company Secretary role, most likely meeting the criteria set out in the UK Corporate Governance Code. Able to use the governance toolkit to improve efficiency, mitigate and minimise risk,and support the delivery of the company's mission.

Counsel: able to win the trust of, and advise, the Board and other senior leaders.

Risk management: Able to identify and mitigate reputational risk issues including political and media driven issues.
