Purpose of Role:
This role takes on collaborative ownership of day-to-day corporate governance matters arising within the group, with a focus on providing comprehensive board support in respect of the Group's principal operating subsidiaries.
This is an excellent opportunity for an experienced and qualified (or part qualified) Assistant Company Secretary, or a newly qualified solicitor looking to gain corporate governance exposure within a public limited company.
Key Responsibilities:
- Support the Deputy Company Secretary with delivery of complex changes impacting the group, including legal entity reorganisations, liquidations, sharesales, and capital raisings.
- Support and maintain policies and procedures to ensure the Company and its officers comply with the requirements of the UK Corporate Governance Code, the Companies Act 2006, and the continuing obligations of a UK publicly listed company (and all other relevant markets).
- In conjunction with the Deputy Company Secretary, provide support to Company and Group Directors in relation to their statutory duties and responsibilities, including the requirements of the Companies Act 2006 and other relevant legislation; design and oversee the delivery of Director induction and training
- Identify opportunities for continuous improvement, process efficiency, and simplification in the company secretarial area (including the use of technology)
Job Knowledge/Education and Qualifications:
- Qualified chartered secretary / newly qualified solicitor, or part secretary qualified with expertise as an inhouse co sec role.
- Analytical skills, with the ability to think around an issue, understanding the broader implications and to proactively devise a creative solution
- Technical understanding of the Companies Act 2006, the UK Corporate governance Code and the continuing obligations of a UK company beneficial.
