We are currently seeking a highly skilled Governance Lead to join our senior executive team.

As the primary steward of our organisation's ethics and compliance, you will play a pivotal role in ensuring that we operate in a transparent, ethical, and compliant manner.


In this role, you will be responsible for identifying, assessing, and mitigating potential risks that may impact our operations, reputation, or financial performance.

You will work closely with our board of directors and executive management team to develop and implement policies and procedures that promote transparency, accountability, and ethical conduct.


You will also ensure that our organisation adheres to all relevant laws, regulations, and best practices related to corporate governance.

You will be the key point of contact for external auditors, regulatory bodies, and other shareholders, as well as for internal teams and departments.

You will help us manage risks effectively, protect our assets and reputation, and ensure long-term financial stability.


Main Role and Responsibilities:


Compliance and Regulations:


  • Ensuring compliance with statutory and regulatory requirements: The Governance Lead is responsible for ensuring that the company complies with all applicable laws, regulations, and guidelines. This includes maintaining company records, preparing and filing reports with government agencies, and ensuring that the company operates in accordance with its articles of association.
  • Providing advice and support to the board of directors: The Governance Lead advises the board of directors on matters of corporate governance, legal and regulatory compliance, and risk management. Maintaining with Service and Clinical Leads, NMC Register
- ensuring key NHS have mitigations to no restrictions to working as appropriate. The Governance Lead also assists the board in setting agendas for meetings, drafting minutes, and ensuring that decisions are properly documented and implemented.

Supporting board and committee meetings:

The Governance Lead is responsible for arranging and managing board and committee meetings, ensuring that all necessary documentation is available, and ensuring that minutes are accurately recorded and distributed.

Supporting key forums and meetings such as the board, audit committee, quality and patient safety committee, renumeration committee and chair of board subcommittee.


Managing legal and regulatory compliance:

The Governance Lead ensures that the company complies with all legal and regulatory requirements, including those related to data protection, anti-corruption, and environmental regulations.


  • Developing and implementing corporate governance policies: The Governance Lead is responsible for developing and implementing policies and procedures that promote good corporate governance and ethical conduct.

Managing corporate records:

The Governance Lead is responsible for maintaining the company's records, including board and committee minutes, legal documents, and other corporate records.


Maintaining records:

The Governance Lead is responsible for maintaining the board's official records, including meeting minutes, resolutions, and other key documents.

These records should be kept in a secure location and made available to board members as needed.

Ensuring compliance:

The Governance Lead is responsible for ensuring that the board operates in compliance with all relevant laws and regulations.

This may include overseeing the implementation of governance policies and procedures, as well as ensuring that the board adheres to its ethical and legal responsibilities.
