Description

The Subsidiary Company Secretariat department has a wide-ranging role, but is primarily responsible for the management and smooth running of board and committee meetings and governance matters for the UK trading subsidiary companies across Admiral Group plc.

We are recruiting for a Governance Executive to assist the Subsidiary Company Secretary and the subsidiary secretariat team.

The role will include a variety of secretarial responsibilities, working closely with the Subsidiary Company Secretary managing a number of boards and committees.


Key Responsibilities:


  • To support the highest standards of governance across the organisation.
  • Supporting the Subsidiary Company Secretary, subsidiary boards, board committees and members of the senior management team in all governance matters to include:
  • Liaising with all subsidiary board and committee members to coordinate board dates.
  • Coordinating board papers and circulating meeting invitations.
  • Drafting accurate and comprehensive summaries, minutes and action logs.
  • Coordinating subsidiary board evaluations and SMCR Fitness and Proprietary assessments.
  • Assisting with the preparation of annual accounts and governance statements where required.
  • Assisting with Companies House submissions and regulatory filings.
  • Organising catering for board and committee meetings.
  • Being a point of contact for nonexecutive directors including for induction, training, hotels, travel and adhoc queries.

Key requirements:


  • Excellent academic background, degree level desirable but not essential
  • Drive and selfmotivation, with the desire and commitment to succeed and deliver excellence.
  • Excellent interpersonal skills and the ability to quickly build rapport and support people throughout the organisation.
  • Ability to be flexible, adaptable and multitask.
  • Team player, with the ability to also work independently.
  • Ability to work in a pressurised environment and meet deadlines.
  • Excellent attention to detail and proofreading skills.
  • Understand the necessity to be discrete and diplomatic due to the nature of the work being undertaken.


This role will require you to have the confidence and proficiency to communicate at all levels including with Executive and Non-Executive Directors and Senior Management.
