Job Description:

Your role at a glance


You will assist the LGIM Company Secretary and wider Company Secretarial function in providing a full governance and company secretarial service to Legal & General Investment Management its subsidiaries.

Acting as Company Secretary to a portfolio of companies and committees within the Group.

What you'll be doing

  • Supporting the company secretarial function to deliver first class governance and company secretarial support to the LGIM(H) Group, ensuring compliance with regulatory and statutory obligations and that all board procedures and guidelines are followed.
  • Acting as Company Secretary for a portfolio of companies and committees within the LGIM(H) Group. This will require strong organisation and minute writing skills. Management of all Board/entity related matters within the role holder's portfolio, including oversight of all associated statutory filings.
  • Acting as an advisor to the board or committee on all governance matters. Together with the Chair, undertake an annual board evaluation and governance review to ensure that both the board/committee and its governance policies/documents remain appropriate and fit for purpose.
  • Within the portfolio of companies and committees, take a lead role in the ongoing training and development of directors. Including, as required, the onboarding and induction of new board/committee members and Non-Executive directors.
  • Assisting the LGIM Company Secretary and Head of Secretariat in executing strategic governance projects and the ongoing improvements to governance standards across the LGIM(H) Group. Ensure all aspects of corporate legislation are adhered to.
  • Supporting the company secretarial function to ensure that the LGIM(H) Group maintains an appropriate governance framework including maintaining appropriate delegated authorities, Committee Terms of Reference and Matters Reserved for the Boards.
  • Assisting the Head of Secretariat to provide support and guidance to junior members of the secretariat team.

Qualifications:


Qualifications:

ICSA qualified or relevant Law degree and legal experience.


Knowledge:
Experience in the financial services sector and or real estate sectors desirable.

Knowledge of the Companies Act 2006 and UK Corporate Governance Code.


Experience:

Working in a company secretarial function.

Meeting and minute writing.
