Role/ Department:

The Company Secretarial function sits within the Legal department at Northern Trust.

Reporting into the EMEA Head of Company Secretarial for Northern Trust companies based in London, the role is to provide core company secretarial and governance services to a number of Guernsey in-house companies, (three of which are regulated), and their respective Boards and Committees including Guernsey's largest administrator and custodian.

The person fulfilling this role will be required to demonstrate a strong ability to carry out all core company secretarial functions to the highest standards, with a key emphasis on minute taking, board servicing and best practice in corporate governance.

This role will also include managing one report within the Guernsey office.


The key responsibilities of the role include:

  • Planning, coordinating and managing boards and committees of regulated and unregulated entities in Guernsey;
  • Supporting Chairs in the effective and efficient running of boards and of committee meetings;
  • Liaising with Chairs in setting of annual board calendars and meeting agendas;
  • Keeping abreast of, and advising the boards and committees on, governance matters;
  • Ensuring terms of reference, matters reserved, and other governance materials are updated to reflect regulatory, legal and organisational changes;
  • Managing and building relationships with board and committee stakeholders, including external parties;
  • Managing annual board and committee performance reviews;
  • Ensuring statutory filings are completed in a timely manner;
  • Preparing and delivering minutes and action items to deadlines;
  • Drafting board resolutions;
  • Assisting in project work as necessary;
  • Reviewing and enhancing departmental processes; and
  • Dealing with requests for corporate documentation from the business.

Skills/ Qualifications:


  • Previous experience within a Company Secretarial function;
  • Board support experience, preferably with Non-Executives;
  • Strong minute taking skills;
  • Effective organisational skills;
  • Ability to prioritise tasks and work to deadlines;
  • Knowledge of Guernsey Company Law, the GFSC Code of Corporate Governance and GFSC Licencing Rules and Regulations as applicable;
  • Relevant industry qualification (e.g. CGI); and
  • Experience of financial services and regulation preferable.
