Birmingham and Solihull Mental Health NHS Foundation Trust is looking to appoint to a Company Secretary (Co Sec) who will proactively manage and is personally responsible for the operational delivery of high quality, efficient and cost-effective corporate governance services and support to the Board and our newly setup Commissioning Board.

They will support the Associate Director of Corporate Governance (ADCG) in acting as an adviser to the Chair, Chief Executive (CEO) and Board of Directors on all issues relating to Corporate Governance ensuring that the highest standards of probity and statutory and legislative requirements are met.

They will ensure that sound integrated corporate governance policies and procedures are in place to support the proper operationalisation of the Board, Commissioning Board and their sub-committees and that appropriate regulatory requirements are met.

They will assist the ADCG in managing an effective interface between the Board of Directors and the Council of Governors, ensuring supportive relationships are developed and maintained.

They will ensure the Board of Directors and the Council of Governors receive appropriate levels of reporting providing assurance of performance and key risks from the Executive Directors/Chief Officers with openness and transparency.

They will ensure that meetings of the Board of Directors, the Council of Governors and sub-committees run efficiently and effectively and that they are properly notified and reported.
