Description

This is a fantastic opportunity for an experienced and motivated
Head of Subsidiary Governance to join the Corio's rapidly growing offshore wind business and support the transition to a low carbon, sustainable global economy.


Corio was developed under the Green Investment Group and remains a subsidiary of Macquarie Group (Australia's largest investment bank) so we have strong financial support to drive the business forward.


Join a rapidly growing global offshore wind business as Head of Subsidiary Governance at Corio Generation and support the global transition to renewable energy.

- have responsibility for all company secretarial and subsidiary governance matters for our global portfolio of entities, including (i) instructing and overseeing outsourced service providers for entities incorporated outside the UK, (ii) ensuring our entity management system contains a true and correct source of information on our global entities (iii) delivering directors' duties training; (iv) drafting resolutions for corporate changes (including for transactions, reorganisations, and funding draw-downs); (v) minuting subsidiary board meetings; (vi) overseeing compliance with statutory and regulatory deadlines; and (vii) ensuring accurate record keeping, including the maintenance of statutory books;
- provide cross-functional expertise, or oversee outsourced service providers' delivery of the same, for all company secretarial and subsidiary governance matters affecting the business including on transaction activity, and regulatory and statutory compliance;
- maintain a close working relationship with Macquarie's Global EMEA Governance team and assist the business with all necessary approvals required from the Macquarie Group as Corio Generation's parent company;
- build Corio Generation's approach to subsidiary governance by setting up scalable, best in class systems and processes to embed and continuously improve our subsidiary governance framework facilitating the statutory and regulatory compliance of our global business; and
- co-ordinate with other Corio Generation team members in non
  • UK jurisdictions who ensure the company secretarial compliance of entities in those jurisdictions, manage various outsourced service providers globally, and build collaborative relationships with core group functions such as Tax, Finance, Legal and Asset Management.
To be successful in this role you will demonstrate the following skills and attributes:

  • relevant qualification relating to corporate law and/or governance such as being a fully qualified member of the Corporate Governance Institute;
- at least 5 years of company secretarial, subsidiary governance, transactional, corporate law and entity management experience;
- deep experience of articulating complex ideas, concepts, and solutions simply, drafting subsidiary governance and company secretarial documents, supporting transaction activity, and ensuring global statutory and regulatory compliance;
- experience of establishing a subsidiary governance framework for a global business or the confidence and experience to do so for Corio Generation;
- ability to work well under pressure with mínimal supervision and manage multiple requests from across the globe in an efficient and pragmatic way to meet business need;
- strong interpersonal and influencing skills to build and maintain effective relationships with internal and external stakeholders at all levels globally;
- demonstrable experience of using technology to drive effectiveness and efficiency; and
- an enthusiastic and flexible approach to operating as part of a small team in a fast paced, early-stage environment able to cope with the unexpected with a willingness to go the extra mile to support the establishment of Corio Generation as a global leader in offshore wind.
