Assistant Company Secretary

What can you expect?

  • The Assistant Company Secretary will provide governancerelated advice and support to Marsh McLennan companies in the UK, and to ensure the companies remain compliant with statutory requirements. The Assistant Company Secretary will interface with Boards of Marsh McLennan UK companies, Finance, Tax, Treasury, Compliance and Legal.
  • The role will include Board support, ad hoc governance projects, intragroup transactions and statutory compliance. The Assistant Company Secretary will work closely with other members of the team in discharging these duties.

We will rely on you to:

Meeting Support

  • Liaising with individuals responsible for producing reports to boards and committees for a portfolio of companies.
  • Setting dates and agendas for board and committee meetings.
  • Undertaking all logístical aspects of board and committee meetings.
  • Production and distribution of board and committee papers.
  • Drafting minutes of meetings and managing updates on outstanding actions from meetings.

Statutory

  • Maintaining statutory records and minute books.
  • Coordinating input into and approval of Annual Statutory Accounts and Letters of Representation for a portfolio of companies.
  • Maintaining statutory compliance with Companies House filing obligations.
  • Maintaining board terms of reference and delegated authorities.
  • Draft resolutions for the approval of corporate actions for UK companies including to effect Director changes, share capital adjustments, transactional approvals, record administrative updates and confer Powers of Attorney.
  • Submit the relevant filings to effect the aforementioned corporate changes with the Registrar of Companies.

Transactional and Project Support

  • Participate in intragroup transactions to provide governancerelated advice and engage boards as required.
  • Support the Secretariat in providing governance support on intragroup projects including liquidations, cash repatriation, intragroup restructuring and capital reorganisations. Includes completing due diligence, facilitating approval processes, and providing support on post completion matters.
  • Provision of proxies and notarised/apostilled legal documents.
  • Management of shareholder approvals for international subsidiaries.

Administration

  • Maintenance of legal entity management database (Diligent Entities).
  • Administer approval and facilitate execution of documentation requiring director signature.
  • Provision of corporate information and documentation for due diligence, RFP and KYC requests.

What you need to have:


  • Educated to degree level or equivalent
  • Solid experience gained as a company secretarial or legal experience (financial services preferred)
  • Knowledge of UK company law and corporate governance requirements.
  • Experience interfacing with senior management.
  • Excellent written and verbal communication skills with an ability to tailor communication and deliver complex messages in a simple and creative way.
  • Operate in a collegiate and collaborative manner and have a proactive, selfmotivated, and personable approach with a focus on developing yourself and other members of the team.
  • Strong attention to detail, organisation, and interpersonal skills and able to work well under pressure, prioritise optimally and meet deadlines.
