Scope of the Role:


We have a fantastic opportunity for an Assistant Company Secretary to join our team at IG Design Group PLC in Newport Pagnell.

Reporting directly to the Group General Counsel & Company Secretary, the role will focus on supporting our small head office team and the Group General Counsel & Company Secretary in providing key support and leadership across a wide range of company secretarial and governance/compliance areas.


Key Duties and Responsibilities:


Board & Committees

  • Planning of Board and Committee meetings: preparation/monitoring of Agendas, collating papers, liaising with key stakeholders, monitoring the work plans, keeping the board software up to date, following up on actions.
  • Deputising for the Company Secretary where needed in terms of meeting attendance and minute taking.
  • Advising the Board and Committees on regulatory, legal & compliance matters.
  • Onboarding of new Directors and ongoing training.
  • Administration and advice re

directors' share dealings:
liaising with NOMAD and registrar where applicable and arranging PDMR notifications to the stock market and the FCA.

  • Organising board and committee selfevaluations.
  • Drafting and review of Terms of Reference.

Company Administration

  • Organising the AGM including the drafting and issuing of the AGM notice, liaising with the registrar and NOMAD, ensuring quorum and directors voting.
  • Corporate record keeping and statutory filings (including for subsidiaries).
  • Management of the Company Secretarial aspects of the Company website, ensuring compliance with all relevant regulations and best practice.
  • Drafting of the Corporate Governance sections of the Annual Report & Accounts and corporate website.
  • Overseeing the Group's executive share option and share award schemes, grants and vesting's administration.

Wider Governance

  • Ensuring compliance with the AIM rules and corporate legal frameworks
applicable to the organisation, including monitoring of any legal or regulatory developments over time.

  • Drafting, updating and monitoring of Group policies e.g. ABC, Code of Business Conduct, Whistleblowing, Data Protection etc.
  • Oversight of whistleblowing hotline and processes.
  • Oversight of Third-Party Due Diligence process.
  • Assisting the wider business on legal matters such as intellectual property and litigation.
  • Undertaking any other reasonable duties as requested or in line with agreed objectives.

Key Requirements

  • Professional experience in the same or similar role within a listed company.
  • Highly organised with exceptional attention to detail.
  • Strong communication skills both internal and external.
  • Able to work autonomously on tasks, as well as being a strong team player.
  • Ability to prioritise/manage own deadlines in a timely manner.
  • Please note that applicants do not have to demonstrate experience in all areas of the role, but a willingness to be flexible and learn new areas of work is a key requirement_
