WHAT WE ARE LOOKING FOR:
Assistant General Counsel


JOB PURPOSE
A21 is seeking a highly motivated and skilled Assistant General Counsel to join our legal team. In this role, you will provide comprehensive legal support to A21 under the supervision of the General Counsel.

The Assistant General Counsel will be responsible for a wide range of legal tasks, including contract drafting, legal advice, compliance management, risk assessment, and more.


MAIN RESPONSIBILITIES/ KEY DUTIES

Draft and Negotiate Agreements: Assist in drafting and negotiating various agreements, including Memoranda of Understanding and other legal arrangements, to ensure A21's objectives are met while adhering to applicable laws and acceptable risk levels.

Legal Advisory: Provide legal advice within your areas of expertise and, when necessary, coordinate with external counsel as directed by the General Counsel. Advise A21's executive team and staff on a variety of legal matters, such as international group structures, operational issues, labor law, data privacy, immigration, partnerships, corporate policies, fundraising, finance, and disputes.

Risk Management: Collaborate with A21 team members and external advisors to develop efficient defense and risk management strategies.

Legal Structures and Processes: Assist in researching, evaluating, implementing, and managing ongoing legal structures and processes in coordination with the Group Finance Team, Group Company Secretariat, and the board.

Policy Development: Collaborate with General Counsel and relevant A21 team members to develop internal governance and operational policies, ensuring compliance with transparency, integrity, and reporting standards.

External Communication: Assist General Counsel in communication and negotiations with external parties, including regulators, external counsel, public authorities, governments, and operational partners, to protect the Company and facilitate effective operational relationships.

Complex Legal Matters: Assist General Counsel in handling complex legal matters involving multiple stakeholders and interests.

Conflict Resolution: Assist with conflicts of interests and disputes, including litigation management (excluding criminal matters involving A21 clients) and employee disciplinary or complaint procedures.

Legal Obligations: Provide clarification and advice on legal obligations to General Counsel, various A21 boards, and team members as needed.

External Legal Procurement: Manage the procurement of external legal services in specialist areas and offshore US jurisdictions where A21 has operations, as requested by General Counsel.

Annual Reports: Assist in the preparation of annual reports for various A21 boards.

Board Membership: Act as a director or officer of any A21 entity, alongside executive and non-executive board members, as requested by General Counsel.

General Support: Provide general support to the A21 General Counsel as needed.

Professional Development: Continuously develop your legal expertise in the area of anti-human trafficking and international law.


PERSONAL SPECIFICATIONS - Qualifications, Experience, Knowledge & Skills

EDUCATION AND EXPERIENCE

LEGAL SKILLS AND ABILITIES:

Legal Expertise: Strong knowledge of corporate and commercial law, including contract law, international law, labor law, and data privacy law. Familiarity with relevant US or European jurisdictional law is important.

Contract Drafting and Negotiation: Proficiency in drafting, reviewing, and negotiating complex legal agreements, with a keen attention to detail and the ability to assess risks.

Compliance Management: Experience in ensuring adherence to legal compliance requirements, company policies, and relevant regulations.

Risk Assessment: The ability to assess and manage legal risks effectively, providing proactive advice to mitigate potential issues.

Litigation Management: Familiarity with the process of managing legal disputes, including litigation, and working with external counsel when necessary.

Client Advocacy: Empathy and strong interpersonal skills to work with vulnerable client groups effectively.

Cultural Sensitivity: The ability to work with people from diverse cultural and ethnic backgrounds, promoting inclusivity and understanding.
