ROLE
Luminate is seeking an Associate General Counsel to join a high-performing, collaborative and collegial global in-house legal team.

This is an exciting opportunity to advance the philanthropy's mission through the development and implementation of organisation-wide compliance measures and through innovative new legal solutions that better enable staff to achieve impact in their work.


The Associate General Counsel will provide support across a broad array of legal matters, including but not limited to data privacy, intellectual property, complex contract and grant negotiations, charity law, policy drafting and general compliance with relevant laws across the jurisdictions in which we work.

This role will also serve as the primary legal advisor to the Risk Management Team.


RESPONSIBILTIES

Governance & Compliance

  • Ensuring Luminate's ongoing data protection compliance across all jurisdictions of operation (including responsibility for policies, training and drafting legal documents).
  • Advising on governance and legal compliance in various jurisdictions of operation
  • Oversee and manage consideration of new entity formation as needed to maintain compliance with global footprint
  • Advisor on charity law compliance for Luminate Strategic Initiatives.
  • Develop organisationwide policies as needed, keeping apprised of legal developments in each of the jurisdictions in which Luminate operates.
  • Investigates complaints of alleged violations of organisational policies.
  • Oversee annual corporate filings and registrations across Luminate entities and assist Finance with the completion of the UK audit.

Contracts Management

  • Oversee Luminate's contracts process, including reviewing and negotiating, at a high level, a broad range of service agreements, consultant agreements, vendor contracts and nondisclosure agreements.
  • Liaising closely with other teams to ensure the contracts process meets the needs of the entire organisation, not just legal. Alongside the Counsel and Contracts & Grants Manager, develop and provide general and bespoke contract trainings

Risk Management

  • Work closely with the Senior Manager, Risk Management on evaluating enterprise risk, conduct ongoing risk assessment monitoring and develop and improve risk mitigation tools. Serve as legal representative on the Risk Management Team and the Crisis Management Team.

Litigation Management

  • Under the oversight of the General Counsel, manage all litigation originating from the UK or its branches.
  • Liaise with external counsel as needed on specific pieces of work
  • Support the General Counsel in any employment issues or other complex legal matters that may arise.
  • Stand in for General Counsel as needed

EXPERIENCE & SKILLS

_ Required_

  • Qualified to work as a solicitor in England
  • Broad experience in data protection law in the UK, EU and the US
  • Experience with IP laws, including trademarks and contract negotiation
  • Experience managing staff
  • Experience managing and negotiating contracts
  • Familiarity with nonprofits and/or charities, with particular preference for US and/or UK charitable experience
  • Enthusiastic and friendly approach
  • Ability to quickly prioritise risks and requirements
  • Highly organised and detailoriented, but able to see the larger context
  • Excellent writing and presentation skills
  • Proven ability to build effective relationships at all levels and across teams; builds trust quickly
  • Corporate governance experience (board minutes, resolutions, filings, etc)
  • Excellent communication skills, including ability to simplify legal jargon for nonlegal audience
  • Selfstarter with the ability to exercise independent judgement and focus on effective resolution of legal issues.
  • Ideally an interest in and/or experience working on the issues at the heart of our work including democracy, human rights, digital rights, technology and platform accountability, and public interest journalism.
