Company Secretariat Assistant - London, United Kingdom - CMC Markets
Description
We are looking to hire a Company Secretariat Assistant to support the Corporate Secretariat department in the day-to-day running of the function.
The role is broad ranging and will afford a high level of involvement, responsibility and visibility.- Duties:
- Assist the team in ensuring CMC complies with all relevant legislation including the Companies Act 2006, Listing Rules, Disclosure Guidance & Transparency Rules, Market Abuse Regulation and UK Corporate Governance Code;-
- Assist with the preparation of CMC Markets plc AGM;-
- Assist with the preparation the CMC Markets plc annual report, an in particular the shareholder information and directors' report;-
- In conjunction with the Assistant Company Secretary, maintain the registers of directors' interests, conflicts and related parties.-
- Prepare and release Stock Exchange announcements and uploads to the National Storage Mechanism;-
- Support the management of the Group's permanent restricted persons list, confidential project lists and insider lists (using InsiderLog) and share dealing processes;-
- Support the Group's subsidiaries as required including attendance at board meetings, preparing minutes, KYC requests and resolutions and ancillary documents as required;-
- Support the annual subsidiary accounts process in collaboration with the Finance team and the external auditor;-
- Maintain the statutory records of all the Group's entities including liaising with the relevant overseas contacts to ensure Diligent Entities (Blueprint) is updated as necessary; managing subsidiary statutory compliance and filings at UK Companies House; and maintaining the Group structure chart;-
- Providing assistance with the management of the overseas branches of the Group's UK entities;-
- Deal with requests for corporate information from other departments (e.g. Finance, Internal Audit) and the external auditor;-
- Producing initial drafts of agendas for plc Board and Nomination Committee meetings. Attending Nomination Committee meetings with a view to over time managing this Committee and writing minutes;-
- Responsibility for the administration of Diligent Books including preparation and circulation of Board and Committee packs;-
- Drafting and maintaining the schedule of Board and Committee meeting dates for CMC Markets plc and its main subsidiaries;-
- Assist with projects relating to share capital as and when they arise including liaising with the registrar regarding dividend programmes; and share buybacks;-
- Assisting the Company Secretary/Assistant Company Secretary on projects as and when they arise including intra-group restructurings, liquidations and strike offs, the annual board evaluation process, and review and remediation of core company secretarial procedures in line with best practice guidance;-
- Assist with the renewal of the Group's insurance programme; and-
- Process invoices for the Corporate Secretariat Department.
KEY SKILLS AND EXPERIENCE
- Part or Fully ICSA qualified and looking to develop a career in company secretarial/governance;
- Attention to detail and ability to work as a team player;
- Strong written and verbal communication skills;
- Ability to interact with people at all levels and to forge and maintain strong relationships;
- Strong planning and organisational skills and the ability to work well under pressure, prioritise effectively and ensure deadlines are met; and
- Good working knowledge of Microsoft Office and company secretarial systems including Diligent Entities (Blueprint), Diligent Books and RNS Submit;
