LEGAL
We are an award-winning full service in-house Legal, Ethics and Compliance function. We're based in the UK, Portugal, China, Italy, UAE and the US.

We provide leadership and advice on strategic projects across all business units, whilst developing our role as an integrated partner within the business to make sure FARFETCH goes from strength to strength.


LONDON
Our office is located in Old Street, London's tech hub.

ROLE


The Legal, Ethics, and Compliance Team at FARFETCH is looking for a Governance Specialist (equivalent to an Associate Governance Professional (I) / Associate Chartered Secretary), reporting to the Governance Principal.

You will enjoy a broad role, supporting the Governance team to provide high-quality corporate administration and governance services to the Farfetch Board, subsidiaries, and other stakeholders.

Being a true partner, you will be hands-on and commercially minded, with a professional ethic and the interest and experience to pursue various tasks.


WHAT YOU'LL DO

  • Oversee the coordination of the Annual Statutory accounts' approval process for Group subsidiaries
  • Be responsible for preparing board and shareholder resolutions for Group subsidiary transactions
  • Be responsible for managing the preparation and approval of powers of attorney across multiple jurisdictions
  • Provide assistance with administrative queries arising on material projects (AGM, M&A, Restructuring, Treasury activities)
  • Provide support with the creation and delivery of workflows, guides, templates, and other materials for stakeholders to build knowledge and enable selfhelp
  • Provide support to designated teams (e.g., tax) and act as the main touchpoint for all queries and questions with the aim of becoming a trusted advisor to the relevant parts of the business
  • Undertake ad hoc research into governancerelated regulations
  • Provide assistance with the collation of documents supporting the governance sections of the Company's Annual Report
  • Provide assistance with the preparation and collation of materials for the listed company Board and Committee meetings
  • Be responsible for arranging the notarisation and legalisation of documents when required

WHO YOU ARE

  • 35 years PQE
  • Chartered Governance Professional (ACG) or possess an equivalent level of professional qualification and experience.
  • Experienced in a listed company environment (US Listed is an advantage)
  • A collaborative team player who anticipates potential problems and develops mitigation strategies in advance.
  • A keen eye for detail and process improvement.
  • An excellent ability to understand legal and business issues quickly, balancing risks and exercising sound judgment to provide creative, practical, constructive advice.
