We are working with a large insurance firm who are looking for an Assistant Company Secretary to join their team in London.

Reporting to the Group Company Secretary, this role would suit someone with c. 3 years' experience at the CoSec Assistant level looking for their first Assistant Company Secretary role.

Some of your responsibilities will include:

Production and distribution of board and committee papers and drafting minutes of meetings and managing updates on outstanding actions from meetings.
Draft resolutions for the approval of corporate actions for UK companies including to effect Director changes, share capital adjustments, transactional approvals, record administrative updates and confer Powers of Attorney.
Support the Secretariat in providing governance support on intragroup projects including liquidations, cash repatriation, intragroup restructuring and capital reorganisations. Includes completing due diligence, facilitating approval processes, and providing support on post completion matters
Maintenance of legal entity management database (Diligent Entities)

You will need at least 3 years' company secretarial experience, ideally within a financial services environment and be at least part ICSA/CGI qualified.

This role offers hybrid working with the expectation to be in the office 2 days per week.
