The Extracare Charitable Trust are recruiting for an exciting opportunity as
Head of Governance, based at our Head Office in Coventry.
We are looking for a forward-thinking individual, with a strong background in
Governance at Board level
, who is at the right point in their career and will relish this challenge as well as supporting the Executive Director of Governance and Compliance.

Salary:
£85,000 plus car allowance
£6,456
Contract:
Permanent 37.5 hours per week (Hybrid working)

Main Duties and Responsibilities of Head of Governance
- Ensure that the Governance of the Charity and its subsidiaries is efficiently and effectively managed, meeting regulatory and constitutional obligations.
- Ensure effective Board and Committee liaison and management, with meetings which are well planned, managed, and ran.
- Ensure all necessary reporting and statutory regulatory returns are accurate and on time.
- Have oversight of Risk & Assurance, ensuring appropriate reporting is undertaken.
- Develop and embed the Risk Management Strategy and Policy, providing high quality reports including risk early warning indicators to various forums, up to and including the Board.
- Oversee the outsourced Internal Audit function alongside inhouse auditing.
- Lead on Health & Safety, with oversight of reporting and assurance.
- Develop and embed the Safety Strategy providing high quality assurance, up to and including the Board.
- Manage Data Protection for the Charity.
- Manage relationships with external lawyers, procuring and engaging legal advice as required.
- Be a key member of the Senior Management Team (SMT).
- Deputise for the Executive Director Governance & Compliance (Company Secretary) where required.
Person specification
- Experience of supporting, influencing and monitoring the strategic direction of an organisation.
- Proven experience of working at Board level.
- Previous work in governance /compliance in the Housing Sector.
- Experience in managing/ coordinating risk management activities.
- Degree educated or significant management experience in a governance role/or a relevant professional qualification.
