Company Secretary & Head of Corporate Affairs for our NHS client in
Peterborough City Centre.


JOB SUMMARY:
The role of the Company Secretary & Head of Corporate Affairs is a pivotal one within the Trust.

The post holder is a member of the Executive team and acts as the principal advisor to the Chair, Chief Executive, Board of Directors, Council of Governors and the organisation as a whole on all aspects of governance, legal and corporate affairs; ensuring the Trust operates in line with best practice practices.


The post holder is responsible for interpreting guidance and advising Board and Council of Governors members on appropriate action and conduct.

They will ensure that the Trust operates in accordance with statutory and legal provisions and in keeping with expectations of high performing organisations, operating to the highest standards with openness, transparency and commitment to a culture of continuous learning.

The postholder will ensure effective relationships are maintained with key regulators and local government oversight committees.


Increasingly the post holder will provide advice and guidance on governance across integrated care partnerships and maintaining systems of control in complex or novel structures and help to shape the evolving governance structures for the integrated care system for Cambridgeshire & Peterborough.


The Role:

  • Act as the principal advisor to the Chair, Chief Executive, Board of Directors.
  • Ensure that the Trust complies with relevant legal, constitutional and regulatory requirements including compliance with its terms of authorisation.
  • Keeping under review policy, legislative, regulatory and governance developments that impact on the Trust's activities and ensuring that the Board is appropriately briefed on them, as well as actively 'horizon scanning' for the latest governance thinking that could benefit the Trust.
  • Establish and monitor procedures for the sound corporate governance of the Trust.
  • Provide expert advice to the Chairman, Chief Executive, Board of Directors, and Council of Governors on all aspects of Corporate Governance.
  • Ensure that the Board of Directors and Council of Governors' meetings run effectively and efficiently, are properly recorded and relevant actions followed up.
  • Manage the relevant Foundation Trust governance functions of the Trust.
  • Develop the membership relationship, numbers and engagement for the Trust.
  • Working with relevant Executive Directors, take lead responsibility for ensuring that there is Board overview of all key targets and performance indicators across the Trust to meet statutory, compliance or other organisation's requirements.
  • Support the development and implementation of the Local Health Strategy.
  • With the Executive Directors of the Trust, play a key role in the determination, implementation and monitoring of corporate strategies, business plans and operational goals.
  • Work with the Chair and CEO, contribute to the design and ensure delivery of proper induction and comprehensive, ongoing development programme for Board members and Governors.

Key Responsibilities:

~ Member of the Executive Team, Hospital Management Committee and Charitable Funds Committee and in attendance at Board, Audit Committee, Remuneration Committee and other Board and Council of Governors subcommittees.

~ Ensure that the business of the Executives and Board of Directors Committees is co-ordinated with the priorities of the Executives and Board of Directors with appropriate information to support decision making.
~ Support the Chairman and Chief Executive in the running of the Remuneration Committee, Executive Appointments Committee and Non-Executive Appointments and Terms of Service Committee regarding appointments of executive and Non-Executive Directors and board development; in conjunction with the Chief People Officer.
~ Ensure that the meetings of the Hospital Management Committee, Board of Directors and Council of Governors and all Board Cub Committees comply with standing orders, statutory responsibilities and constitutional matters, providing advice where necessary
~ With the Chairman and Lead Governor, provide leadership for the Non-Executive Director recruitment, appointment and induction process and the running of the Non-Executive Directors Appointments and Terms of Service Committee.
~ Manage the Governor election and Partner Governor appointment process and Council of Governors development including appropriate induction and interaction with the Trust including appropriate organisational development.
~ With the Chief People Officer ensure that current governors and non-executive directors meet the required fit and proper persons test.
