Quilter Corporate Secretariat is well regarded for the critical support it provides to the Quilter plc Board and the boards of its subsidiaries.
We require a capable and experienced Assistant Company Secretary with strong technical knowledge and skills to join our team to provide support to the Quilter businesses and core PLC activities including year end work.
About the Role
The role supports key activities undertaken by Corporate Secretariat to support the Quilter businesses providing company secretarial support to the Group's subsidiaries on routine statutory & regulatory compliance, corporate governance and transactional matters including:
- Maintenance of Group entity statutory records in compliance with legal, statutory and regulatory requirements.
- Drafting routine board minutes, papers and statutory forms.
- Prepare and review corporate documentation such as report and accounts.
- Working with Business contacts and responding to adhoc company secretarial queries from the business.
- Working with the Businesses to ensure Quilter policies and procedures are implemented in an appropriate manner.
- Support corporate transactions and projects including liquidations of companies that are no longer required.
- Provide support for the regulatory filings managed by the team, such as close links and annual controllers report.
- Undertaking research on technical matters and sharing knowledge with other team members.
This will include contributing to and supporting core PLC activity including:
- Work on projects to support the delivery of the overall team strategy.
- Support the year end process for Quilter plc.
- Support on key corporate governance activity for Quilter plc including supporting on Stock Exchange announcements for our dual listed entity and supporting the maintenance of insider lists and confidential lists.
- Ad hoc support for Shareholder relations and Shareplans activity as agreed.
- Support on key departmental systems, such as Insidertrack and diligent board books.
Importantly, you will build and maintain successful relationships with a variety of stakeholders from across the organisation and liaise with individuals at all levels.

Familiarity with key aspects of the regulatory environment within which the team works would be advantageous, including awareness of relevant aspects of the Companies Act, the Market Abuse Regulation, Listing Rules and Disclosure Rules & Transparency Guideline requirements.
- Prior experience of financial services.
- Previous experience of dealing with Diligent (Boards and Entities), and RNS Submit for releasing stock exchange announcements.
