About the role
The Senior Associate - Waystone Internal Corporate Secretarial Services function will have responsibility as part of a team for the delivery of services (to include scheduling meetings, preparing board packs, preparing minutes, maintaining entity registers and records) to an Irish Mancos, and their respective sub-committees.
Reporting to the Deputy Head of Internal Corporate Secretarial they will undertake a role within the Corporate Secretary team for the Irish Management Company.
This will include delivering KPI's and MI on a regular and consistent basis for management, detailed capacity monitoring and helping to drive the implementation of a technology solution to underpin the business.
The minimum expectation of the role is as set out below:-
ESSENTIAL DUTIES AND RESPONSIBILITIES
- Provide the delivery of service to the Management Company as aided by the team;
- Organise board and committee meetings;
- Prepare board papers, board meeting documentation, attend and minute meetings;
- Review and oversee the preparation of documents, board packs, minutes, and resolutions by junior team; members in order ensure appropriate standards are maintained;
- Prepare, finalise, and management of resolutions and other corporate documentation;
- Assist in the compilation and preparation of management information as and when required;
- Be able/willing to take on additional duties as and when required;
- Display an indepth understanding of Irish fund corporate governance practices and regulatory filing requirements and keep abreast of all regulatory changes;
- Display keen attention to detail and excellent communication skills;
- Ensure appropriate prioritisation of workload, identification of and escalation of scheduling conflicts and delays;
- Ensure client files and corporate records are maintained and updated appropriately;
- Follow current Waystone policies and procedures as set out in the Employee Handbook and/or develop additional policies as needed for jurisdiction specific;
- Independently liaise in a timely and professional manner with fund service providers;
- Liaise professionally and effectively with management, entity boards and senior staff;
- Maintain and update corporate records (to include the use of Diligent Entities and Board Intelligence);
- Monitor and update task tracking schedule to ensure all assigned duties are completed within assigned deadlines; and
- Promote team building and communication within the organization to ensure cohesive approaches and organizational culture.
REQUIREMENTS
Education:
- ICSA qualified or relevant Legal or Corporate Governance qualification.
- Bachelor's degree in a related field is desirable.
Experience:
