Purpose of the role


To ensure Man Group plc and subsidiary company compliance with all listed company regulation, company law requirements and corporate governance best practice, to act as Secretary to the Man Group Board, Remuneration, Nomination and Governance and other Board Committees as required and to manage and develop the Company Secretarial team and its services to the Group in response to business need.

Main responsibilities

  • Provide and work with team members and executive support staff to deliver a proactive high quality company secretarial service to the Board and Board Committees, including agenda planning, overseeing Board paper preparation and circulation, clear and concise minuting of decisions, follow up of matters arising and advice to the business on Board communications and processes.
  • Provide corporate governance advice and recommendations to the Chair and Board on a continuing basis, taking account of external developments and industry practice. Develop and implement changes in governance practice.
  • Act as a link between the Chair and executive directors on Board business and processes; facilitate good information flows and effective working relationships within the Board. Advise the Chair on Board dynamics.
  • Advise the Chair on Board evaluation processes and introduce possible external evaluators when required.
  • Organise nonexecutive director appointment documentation and induction programmes, including business orientation and familiarisation with directors' listed company responsibilities. Maintain a supportive relationship with the nonexecutive directors.
  • Work closely with the Senior Reward Executive on Remuneration Committee matters including agenda scheduling and shareholder engagement.
  • Ensure Man Group plc compliance with Listing Rules, Disclosure Guidance and Transparency Rules and Prospectus Rules and the compliance of the Man Group of companies with relevant company legislation. Ensure Man Group's investment in all overseas entities and any nonwholly owned entities is protected with appropriate Board representation, governance and control structures and central company secretarial oversight.
  • Draft and deliver the corporate governance and company secretarial content for the Annual Report and corporate website.
  • Manage the cost effective administration of the Man Group share register and shareholder communication programme, including the share registration contract with Equiniti, dividend payments, shareholder communications and meetings.
  • Update, communicate and administer Man's Global Inside Information Policy and Share Dealing Code and related processes taking account of the requirements of the UK Market Abuse Regulation.
  • Act as Secretary to Man's Disclosure Committee and keep the Disclosure Committee's Operating Procedures and Parameters under review and ensure that these remain in line with best practice and regulatory requirements.
  • Create and manage the Company Secretarial and Board budgets, seeking efficiencies and cost saving wherever possible.
Profile

FCG qualified. Substantial experience as Company Secretary of a large FTSE company. Financial services and funds sector experience in particular an advantage.


Broad practical knowledge of Companies Act 2006, FCA regulation, UK Corporate Governance Code, FRC Guidance and leading shareholder and proxy voting agency guidelines.
