Assistant Company Secretary - West End - Investment - Up to £65k

We are seeking an experienced and highly organized Assistant Company Secretary.

As the Assistant Company Secretary, you will play a crucial role in ensuring that our organization complies with all statutory and regulatory requirements while providing essential administrative support to the Company Secretary.

You will contribute to the effective management of corporate governance matters, corporate records, and board-related activities.


Key Responsibilities:

  • Assist the Company Secretary in organizing and preparing board meetings, including agenda development, document distribution, and minutetaking.
  • Maintain and update corporate records, registers, and statutory books in compliance with legal and regulatory obligations.
  • Collaborate with crossfunctional teams to ensure timely filing of statutory documents and compliance with company law and corporate governance regulations.
  • Support the implementation of corporate governance policies and practices, keeping abreast of regulatory changes and best practices.
  • Assist in the coordination of annual general meetings and other shareholderrelated activities.
  • Help manage communication with shareholders, ensuring the timely distribution of reports, notices, and disclosures.
  • Conduct research and provide advice on legal and compliance matters affecting the company's operations.
  • Manage the administration of various corporate transactions, such as mergers, acquisitions, and restructuring.
  • Assist in the development and maintenance of the company's governance framework, policies, and procedures.
  • Handle adhoc tasks and projects as assigned by the Company Secretary or senior management.

Qualifications:

  • Proven experience in a corporate governance or company secretarial role, preferably in a similar organization.
  • Excellent knowledge of company law, corporate governance principles, and regulatory requirements.
  • Strong organizational and administrative skills, including minutetaking and document management.
  • Proficiency in relevant software and tools for managing corporate records and documents.
  • Excellent communication and interpersonal skills, with the ability to work effectively with various stakeholders.
  • High level of integrity, discretion, and confidentiality.
  • Detailoriented and capable of managing multiple tasks and deadlines effectively.
