The Global Head of Regulatory & Governance Compensation is responsible for compliance with both global regulatory remuneration requirements as well as pay equity/gender pay reporting across all regions of the company.

Additionally, this role will be responsible for implementing and maintaining a global compensation governance framework.

The role will work and partner directly with the Control Functions, business/functional Senior Management, governance bodies, HR functions and Global and Executive Compensation to ensure compliance with regulations, supported by the development of policies, procedures, and communication tools.

Responsible for providing documents, or input into documents, for local remuneration and governance committees or the corporate Human Capital and Compensation Committee in partnership with Executive Compensation.

The role will manage a team tasked with global regulatory compensation and governance and pay equity activities.

Key Responsibilities

  • Manages the Regulatory Compensation and Pay Equity team
  • Monitors and maintains knowledge and understanding of global remuneration regulations via external forums, consultant interaction, peer networks, internal compliance teams with a view toward impact to Northern Trust and its legal entities globally
  • Prepares presentation materials and provides updates, as required, to key stakeholders and governance groups
  • Interacts with external regulators as and when required, either directly or via Compliance
  • Liaises with the Conduct Office and Control Functions in their role of identifying regulated roles (e.g. EMEA Material Risk Takers (MRTs), US Covered Employees).
  • Analyzes and advises on governance matters and potential risk for global projects and design work within the global compensation function; develop regulatory strategies and implementation plans for new programs in partnership with the regional / global compensation teams, oversees the annual compensation planning process from a regulatory compensation perspective, ensuring incentive budgets, allocations and recommendations are compliant with the appropriate remuneration codes.
  • Performs analysis on effectiveness and competitiveness of existing regulatory compensation programs and models potential impact of alternatives
  • Contributes to broader policies and processes which may sit outside of the HR/Compensation teams e.g., recoupment/malus/clawback policy.
  • Ensures Compensation governance processes are implemented in collaboration with the relevant HR / Compensation Teams
  • Responsible for mandatory regulatory reporting with regard to local regulatory requirements
  • Oversees preparation of documentation and reports specific to regulatory compensation matters for the various governance body meetings such as the Human Capital and Compensation Committee (HCCC), EMEA Remuneration Governance Group (ERGG) and Remuneration Committees
  • Develops globally consistent educational and training materials to communicate compliance and regulatory information ensure that senior management, HR, local governance groups and those impacted by the regulations have a thorough understanding of the rules and their implications
  • Aligns compensation approaches with business needs and regulatory restrictions, developing creative solutions for talent acquisition and retention. Recommends solutions or alternative actions to resolve compensationrelated challenges.
  • Contributes to policy and process guidelines relating to guarantees, buyouts, retention awards and recognition awards, ensuring they comply with external regulations
  • Responsible for regulatory compliance testing and compensation audits (i.e., SOX)
  • Contributes to the Regulatory Risk Rating Review process globally and ensures local regulatory requirements are met
  • In partnership with the Global Compensation team and Head of DE&I, maintains and develops the corporate philosophy and strategy with regard to pay equity
  • Conducts or oversees pay equity and/or gender pay gap analyses as part of the broader corporate strategy
  • Responsible for all documentation related to pay equity and gender pay requirements globally, including sections in the Total Compensation Policy Statement; contributes to the annual compensation planning process to deliver pay equity reporting
  • Responsible for equal pay audits or compliance testing requests
