Responsibilities

  • Advise on internal legal issues relating principally to the businesses of ICE Futures Europe (a UK Recognised Investment Exchange) ICE Clear Europe (a UK Recognised Clearing House and a Central Counterparty regulated by ESMA in the EU and the SEC and CFTCin the US) andICE Futures Abu Dhabi (a UAE Recognised Investment Exchange) as well as certain other UK based ICE subsidiaries (together "the ICE Companies"), including contractual negotiations, companies act issues and litigation, documentation management,data protection, trademarks, supplier terms of business, property management.
  • Advise on external legal issues which arise in the context of the interface between ICE subsidiaries and their Members, market users, subscribers and other external parties during the course of the operation of both Exchanges' futures and options markets,the Clearing House and other related businesses including: API access and interface and related contractual arrangements and negotiation; data access, use and distribution; interaction with ICE Futures Europe, ICE Futures Abu Dhabi andICE Clear Europe rules;Member and customer complaints; contractual negotiations; FCA supervision of ICE Futures Europe; FSRA supervision of ICE Futures Abu Dhabi; Bank of England, CFTC, SEC and ESMA supervision of ICE Clear Europe; development of initiatives with partners and thebusiness development departments internally within the ICE Companies, relating to trading and listing of contracts and tradeable products; membership of and contribution to ISDA as appropriate.
  • Providing daily adhoc advice and regulatory support pertaining to the Treasury team's projects and documentation (being the first point of legal contact for the Treasury team); liaising with other departments of the Clearing House (e.g. Risk and Compliance)with regard to providing legal advice on Treasuryrelated matters; drafting/ negotiating amendments to various banking documentation (e.g. investment agreements, repurchase agreements, custodial agreements etc) and liaising with various counterparties andkey service providers regarding the same; liaising with external counsel and managing key projects for the team in relation to bespoke banking documentation for the Clearing House.
  • Advise on regulatory matters, including EMIR, MiFID and the Recognition Requirements for [UK] Recognised Investment Exchanges and ensure that advice provided is consistent with relevant regulatory requirements.
  • To support the head of department in producing and reviewing rules, ensuring that they at all times: are relevant and appropriate to the users of the market, provide appropriate protection for ICE Futures Europe, ICE Futures Abu Dhabi and/orICE ClearEurope as the case be, are compliant with regulatory requirements and expectations and are reflective of commercial arrangements which any of ICE Futures Europe, ICE Futures Abu Dhabi and/or ICE Clear Europe might wish to implement (e.g. new product launches).
  • Liaising with ICE control functions and business areas and providing advice and assistance as requirements might arise.
  • To assist the Compliance and Regulation Departments and Executive of each of ICE Futures Europe, ICE Futures Abu Dhabi and/or ICE Clear Europe in general in a commercially proactive and responsive manner in relation to legal issues as they might touch andaffect any of those businesses as appropriate.

For example, to provide support in relation to US regulatory filings to the CFTC and SEC, to manage regulatory information requests, inspection/examination preparation and compliance assurance.


  • Interface and work with a number of Board Committees across the UK regulated entities.
  • To be an enthusiastic and professional member of the legal department.

Knowledge and Experience

  • Extensive PQ experience
  • Due to the breadth and complexity of the role the experience and knowledge required is very varied.

The role is external and internal facing in relation to legal issues which might arise from supporting the day to day running of the business.

The jobholderwill require senior level commercial experience in all matters and be comfortable and resourceful when working without supervision representing the interests of the ICE Companies.


  • Experience of working within a highly regulated environment is essential
  • Experience in the derivatives trading and/or clearing industry (commodities, financial and/or credit) is desirable; experience in data and benchmarks is desirable
  • Experienced and able to work effectively in frequently changing working environments/organisations
  • Each facet of the role will require command of and confidence in legal skills such as handling and negotiating contracts, document management, drafting, statutory and regulatory interpretation, relationship management and Board and other presentations.
  • Ability to effectively manage competing priorities and demanding deadlines
