  • This role is vital in supporting the General Counsel & Company Secretary to maintain high standards of corporate governance and ensuring that the Company and its subsidiaries comply fully with legal, regulatory and corporate governance obligations._

What will the role look like?

  • Responsible for the daytoday operations of the Company Secretariat function's activities, including listed company requirements, corporate governance, share plans, subsidiary governance, relevant yearend processes, and oversight of compliance procedures for all regulatory announcements and filings.
  • Support the General Counsel & Company Secretary on Board and Committee activity, including production of agendas, papers, minutes and management of matters arising.
  • Support the General Counsel & Company Secretary on advising Board Directors on their duties and responsibilities and ensuring they are compliant with legal and regulatory requirements, and the Company's constitutional documents.
  • Deputise for the General Counsel & Company Secretary at relevant meetings when required.
  • Develop and maintain induction and training materials for the Board and Committees.
  • Support the General Counsel & Company Secretary on the annual Board and Committee performance evaluation.
  • Produce and maintain board paper guidance and support for contributors.
  • Ensure compliance with legal, regulatory and listed company requirements relevant to Victrex plc including Market Abuse Regulations, Listing Rules, Disclosure Guidance and Transparency Rules.
  • Support the General Counsel & Company Secretary in the timely and accurate production of the relevant sections of Annual Report and manage verification and compliance checking processes.
  • Oversee management of the AGM and production of AGM documents and liaise with proxy advisory bodies.
  • Maintain the Board and Committees Governance Framework including terms and reference and annual programmes of business, and other corporate governance processes and procedures.
  • Support the General Counsel & Company Secretary in monitoring and advising on governance and regulatory developments and best practice and adapting policies, processes and procedures to ensure continued compliance and high standards of governance. This includes company law requirements in all locations where the Group has one or more subsidiary or other legal presence.
  • Assist with the development and implementation of new policies, procedures and templates to aid continuous improvement, and documenting of existing procedures.
  • Ensure records management procedures and document retention in line with group policy.
  • Provide directors' duties training to subsidiary company directors.
  • Advise and support on company secretariat aspects of any corporate projects.

What relationships and stakeholders will the role interact with?

  • Internal: Board members, Finance, HR, Legal, IR, Risk & Compliance.
  • External: Build and maintain effective relationships with Registrars, Auditors, Share Plan administrators, Trustees, and external advisers.
Leading a team of up to two direct reports and responsible for management of Company Secretariat budget

  • A Qualified company secretary, educated to Degree level or above.
  • Have demonstrable experience in a UK listed company environment.
  • Have working knowledge of legal and regulatory requirements including Listing Rules, MAR, DTRs UK Corporate Governance Code and related guidance.
  • Experienced in management of the daytoday operations of a listed company secretariat function.
  • Extensive experience in all aspects of listed company share plans.
  • Experienced in building, maintaining and influencing relationships at senior level and across the company, with an enjoyment of working cross functionally.
