Head of Company Secretary, International - London, United Kingdom - TIAA
Description
This job maintains overall responsibility for company secretarial services to various corporate entities in Europe and APAC regions, leadership and development of a global team, and design of regional strategy that meets current and expected business evolution.
Key Responsibilities and Duties- Provides governance advice to the boards and committees of corporate entities and serves as primary contact point for all shareholders and proxy voting/corporate governance advisers including its NOMAD.- Manages productive relationships with internal stakeholders, and collaborates with senior executives, members of various boards, and functional heads (e.g. Investments, Legal, Risk, Compliance, HR) on corporate governance framework and strategy.- Liaises with external lawyers and internal management as required.- Ensures that the organization complies with all applicable local or international statutory or regulatory obligation as required by the role.- Ensures statutory filings are organised and submitted in a timely manner across the Group.- Leads, manages and develops teams in UK and EU, including oversight, supervision, and management of the US Company Secretary.- Identifies areas for improvement and remediate, including a more-cohesive approach to APAC and legal entity management.- Assists with integration of new acquisitions and disposals and corporate projects as required.- Identifies and manages corporate governance training and updates for the board and members of the committees.Educational Requirements- University (Degree) Preferred
