Senior Associate in corporate secretarial services.

Summary:

The Senior Associate role within the Waystone Corporate Secretarial Services function will be responsible for the delivery of services (to include scheduling meetings, preparing board packs, preparing minutes, maintaining entity registers and records) to a diverse portfolio of external clients (UCITS and AIF fund vehicles and related entities).

The minimum expectation of the role is as set out below.


Location:
Hybrid working arrangement with main office based either in Belfast, Cashel or Dublin.


Your role:

As part of the Company Secretarial team provide to our clients' Company Secretarial support and services for Irish investment funds and other company types.


Essential Duties and Responsibilities

  • Ensure client files and corporate records are maintained and updated appropriately;
  • Liaise professionally and effectively with management, entity boards and senior staff;
  • Assist in the compilation and preparation of management information as and when required;
  • Display an indepth understanding of fund corporate governance practices and regulatory filing requirements and keep abreast of all regulatory changes;
  • Independently liaise in a timely and professional manner with fund service providers and clients;
  • Organise board and committee meetings;
  • Prepare board papers, board meeting documentation, attend and minute meetings;
  • Maintain and update corporate records (to include the use of Diligent Entities/ blueprint oneworld);
  • Prepare, finalise, and management of resolutions and other corporate documentation;
  • Review and oversee the preparation of documents, minutes and resolutions by junior team members in order ensure appropriate standards are maintained;
  • Ensure appropriate prioritisation of workload, identification of and escalation of scheduling conflicts and delays;
  • Monitor and update task tracking schedule to ensure all assigned duties are completed within assigned deadlines;
  • Identify opportunities for crossselling products;
  • Display keen attention to detail and excellent communication skills;
  • Actively question methods and processes with the key to making the team more effective and efficient;
  • Be able/willing to take on additional duties as and when required;
  • Follow current Waystone policies and procedures as set out in the Employee Handbook and/or develop additional policies as needed for jurisdiction specific.

Your Profile:


  • You (preferably) hold a degree in Business or Law or equivalent experience with a focus on Company Secretarial services
  • You have min. 3 years' experience in the area in Company Secretarial roles
  • Completed your grad ICSA qualification or will be working towards the qualification
  • You have a strong knowledge of Irish corporate and fund regulations
  • You are highly organized, proactive, accurate and have a sense of responsibility and priority management
  • You are able to work independently in an environment under pressure and with tight deadlines
  • You are fluent in English (written and spoken)
  • You are proficient in MS Office (Word, Excel, Outlook and Teams).
