Voluntary Chair Role

  • The Chair of Elmore is elected by the Trustees at the Annual General Meeting. They hold office for three years and there is no term limit in the Articles of Association.
  • The role of the Chair is key to good governance. Although the authority of Trustees comes from collective decision making, the Chair plays a critical role in providing leadership to the Board to ensure both good governance and the fulfilment of the Trustees' responsibilities.
  • The Chair is a Trustee of Elmore and the role description for Trustees applies to their role. In addition, the Chair carries further responsibilities as detailed below.

The responsibilities of an Elmore Chair of Trustees include:

  • Providing leadership to the Board and ensuring that the Trustees fulfil their duties and responsibilities for the proper governance of Elmore.
Ensuring the proper and efficient conduct of Board meetings by:
a. Chairing Board meetings effectively, reaching clear and agreed decisions, or in their absence, arranging for a substitute Chair.

b.

Encouraging all Trustees to participate in meetings and feel free to constructively challenge each other, the Chair, the CEO, and employees.

c. Working with the CEO to set and structure agendas that are meaningful, focused, and reflect the responsibilities of Trustees.

Ensuring the highest possible standards of governance by ensuring that:
a) The Board delegates sufficient authority to its committees and working groups, the CEO, and employees for business to be carried out effectively between meetings of the Board of Trustees; and ensures the Board receives reports from committees and working groups.

b) All Trustees receive appropriate recruitment, induction, advice, information, and training (both individually and collectively)

c) All Trustees annually audit their skills, comply with the code of conduct.


d) The Chair to check-in periodically with all Trustees individually (for example, to gain opinions on issues, check on wellbeing, Trustee needs, etc.

e) Ensuring that the Board focuses on its governance role and does not slip into the management role or operational matters.


Supporting the CEO by:
a) Providing supervision to the CEO on behalf of the Board, always remembering that he/she is responsible to the Board as a whole and the CEO provides an appropriate executive link between the Board and the employees.

b) Supporting the CEO to be clear about the key performance indicators by which he/she will be held accountable as part of their appraisal.

c) Ensuring the CEO's performance is appraised annually and reviewed and supported at least monthly.

d) Providing leadership to ensure Elmore is managed in line with the strategic decisions of the Board and Articles of Association.

e) Making sure the Board understands and fulfils its responsibility to hold the CEO and employees to account by ensuring that, as needed, the Chair and the Board challenge the CEO and employees constructively, in the interests of Elmore, and as "critical friends"

f) Making sure there are appropriate mechanisms to verify that the Board can receive a balanced and honest picture of how Elmore is operating.

g) In partnership with the CEO, agreeing a role as spokesperson and representative.


  • Ensuring, with the CEO, that all employees understand the role of the Board and all Trustees understand the work of Elmore and frontline workers. This involves ensuring that wherever practicable, Trustees visit various services, attend some events organised by Elmore, and seek to use informal opportunities to meet employees and clients.
