This role will play a key leadership role at Cancer Research UK (CRUK), leading the Secretariat team and strengthening CRUK's Secretariat function.

You will make a significant contribution to the effectiveness of CRUK's decision-making, working with a broad range of stakeholders to drive the organisational strategy to be more effective and efficient.


You will be responsible for providing advice to CRUK on company law, charity law and corporate governance issues, acting as the central expert on all company secretarial matters.


Supporting the General Counsel & Company Secretary, you will be responsible for leading the Company Secretariat function to continue to enable CRUK's continued development, progression and overall success.

You will also be responsible for the effective running of the Executive Board, Council of Trustees and its committees, ensuring that the business of such governing bodies and subsidiary boards is conducted smoothly and effectively; that all proceedings and decisions by Council, Council's Committees and Boards comply with company and charity law and the Charity's and entities' governing documents and that all such decisions are appropriately enacted.


The role provides support and advice to the General Counsel and Company Secretary, Trustees, the Executive management team and staff, within the Charity's governance and regulatory framework, acting as an interface between relevant Trustees and members of the charity's Executive team and staff.


What will I be doing?

  • Effectively lead and develop an inclusive and high performing Secretariat team (including the PA to the Chair which shall be matrix managed with the General Counsel).
  • Evolve CRUK's governance framework to effectively support the charity, providing advice and guidance on the governance framework, and delivering key initiatives to enhance and improve CRUK's corporate governance (such as development of a scheme of delegation, rationalisation of the group structure, governance reviews of CRUK and its subsidiaries where relevant, leading and delivering on internal and external effectiveness reviews and trustee induction processes)
  • Managing and coordinating the governance cycle including:
  • Administration of Council, Committee and Executive Board meetings.
  • A robust process for distribution of papers, ensuring papers are fit for purpose
  • Attending Council and Committee meetings.
  • Work closely with the General Counsel & Company Secretary and other members of the Company Secretariat to deliver an effective and functioning company secretariat team to the charity and entities within the organisation's corporate structure.
  • Keep abreast of external developments relevant to the role and assist the General Counsel & Company Secretary in implementing changes.
  • Prepare relevant content for the annual report and accounts and liaise with external auditors.
  • Liaise with teams within the Charity to ensure that audit trails are created and to ensure that information is accurate, verifiable and that appropriate processes are in place to repeat the exercise each year.
  • Managing the conflicts of interest process.
  • Oversee and implement organisation and preparation of the charity's AGM.
  • Manage statutory filings and maintain the statutory registers for the CRUK Group and other legal and governance documents ensuring that these are up to date.
  • Establish robust company secretarial procedures and processes and monitor adherence.
  • Manage the Company Secretariat budget.

**What skills are we looking for?

Technical skills:

  • Qualified Company Secretary with extensive experience of corporate governance at a senior level and knowledge of legal responsibilities of both trustees and directors. Understanding of the UK Companies Act and ideally of the Charity Governance Code.
  • Membership of ICSA.
  • Strong minutet
